Career
Lindsay is an experienced pension and benefits lawyer with Brown Mills Klinck Prezioso LLP. She has over 15 years of experience providing strategic and practical advice to both provincially and federally regulated employers, sponsors and plan administrators. She advises clients on regulatory compliance, governance and administration matters for registered pension plans and supplemental executive retirement plans (SERPs). She has a wealth of experience advising public and private companies on equity-based compensation arrangements, including stock option plans, deferred share unit (DSU) plans, restricted share unit (RSU) plans and profits interest plans. Lindsay has extensive experience advising clients on the risks and complex issues that arise in connection with pension and employee benefits in the context of corporate transactions, including with respect to equity-based compensation arrangements.

Representative Work:
• Advises the employer sponsor of an Ontario-based jointly sponsored pension plan and the associated governance and regulatory aspects & the consolidation of multiple single employer pension plans.
• Acts as counsel to a large power company in respect of its pension plan administration and investment matters.
• Advised a multi-national pharmaceutical company in its capacity as pension plan administrator with respect to a corporate reorganization and pension investment matters.
• Provides educational training to pension committees with respect to their fiduciary duties.
• Drafted and advised on the implementation of various incentive compensation plans for private equity sponsors with portfolio companies in Canada.
• Advised foreign parent companies on the use of global equity incentive plans in Canada.
