His professional practice is distinguished by his active participation in domestic and cross-border transactions, including due diligence processes, drafting of share purchase agreements, shareholder agreements, escrow agreements, private negotiations for the purchase of assets and companies, and compliance with the Securities Market Law, among others. He has experience drafting and negotiating audiovisual production contracts and has advised various producers on the development of films and series for streaming platforms. He has distinguished himself by leading and managing complex legal, corporate and family disputes, approaching these matters with an interdisciplinary perspective and a deep understanding of his clients’ businesses.
Advised the Drake Group (DFSI) on a series of M&A transactions during its expansion of the Papa John’s pizza franchise in Panama, Costa Rica, Guatemala, the United Kingdom, and Chile.
Advised Marubeni on the acquisition of its stake in the Aguas Nuevas and Aguas Décima group. Ongoing advisory services to the group, including recent restructuring within the group, registration with the securities registry, and bond issuances.
Permanent corporate legal advise to Aguas Nuevas S.A. (a subsidiary of Marubeni Corporation) in various mergers and acquisitions, including the acquisitions of Aguas Décima S.A., Nueva Atacama S.A., and Empresa Eléctrica Cavancha S.A.
Corporate advisory services and support for the expansion of Medismart’s operations in Latin America, specifically in Mexico, Ecuador, Colombia, Argentina, and Costa Rica. The process included a series of due diligence reviews and local M&A transactions across various jurisdictions. It also included advising on the M&A process with the company Telesalud (Teledoc) involving the merger of the holding companies in Delaware, U.S.
Advised Gastronomía y Negocios in the sale of 75% of their fast-food chain’s portfolio to The Carlyle Group.
Corporate legal advice on production and co-production agreements, financing agreements, and development agreements with streaming platforms, among others. Important client of the industry was advised on contracts related to the production of the film “Araña” and the series “Noticia de un Secuestro”, among other productions.
