Jason Day also serves as co-chair of the firm’s global Corporate practice. He regularly counsels public company boards of directors and management on U.S. Securities and Exchange Commission disclosure obligations; capital markets deals; environmental, social, and governance disclosures; fiduciary duties; internal investigations; proxy advisory firm standards; and stockholder activism matters. His clients range from businesses preparing for an initial public offering (IPO) to Fortune 500 corporations across a variety of industries, and he has particular experience in the life sciences, consumer products, energy, technology, and food and beverage sectors.
Over his 20-plus-year career, Jason has represented issuers and underwriters in raising tens of billions of dollars in capital markets offerings, including underwritten equity and debt offerings, IPOs, Rule 144A offerings, and convertible note offerings, among others. He also regularly counsels companies and their boards of directors on the acquisition and sales of public companies and other transformative mergers and acquisition transactions.
Jason is a co-author of The Public Company Handbook: A Corporate Governance and Disclosure Guide for Directors and Executives and is a frequent speaker on a variety of public company topics.
