Specializing in financial activities such as bonds, asset financing, real estate financing, factoring, consumer finance, microfinance, incorporation, and licensing of financial institutions, Imane Raouf is also adept at providing ongoing legal guidance in these areas.
Furthermore, Imane has developed an expansive experience in debt capital market field, serving as the legal advisor for numerous successful transactions, including private bonds, securitization bonds, and debt restructuring.
Prior to her current roles, Imane Raouf worked with the Egyptian Competition Authority, solidifying her expertise in all matters related to competition. Her involvement included drafting essential transaction documents, particularly contracts required in M&A transactions
Previously, Imane worked for the Egyptian Competition Authority; leading her to be an expert in all competition-related matters. Imane participated in the drafting of the essential transaction documents, primarily the contracts required in M&A transactions, such as Share Purchase Agreements, Shareholders Agreements, and Escrow Agreements, in addition to the transactional documents in relation to securitization transactions, such as the Information Memorandum and related documents. She has also participated in major initial public offerings (IPOs) and private placements, including drafting the appropriate sections of the International Prospectus or Offering Memorandum and reviewing underwriting agreements and/or any other agreements required for the IPO.
Imane stands as one of the pillars of the firm, having quickly excelled and contributed to advising major international award-winning transactions. Her track record serves as evidence of her expertise in the legal field, setting her as an example and a role model among her peers.
Work Highlights
- Advised the lenders in a syndicated finance deal of EGP 12.3 billion, between 11 of the top banks in Egypt and borrower, Gharably Integrated Engineering Company (GIECO).
- Advised Vodacom's €2.5 billion acquisition of 55% stake in Vodafone Egypt.
- Advised Arab Company for Projects and Urban Development (“ACPUD”) (An affiliate of Talaat Moustafa Group Holding) on the first ever securitization backed by portfolio of club membership fees with a value of EGP 410.8 million.
- Advised GlobalCorp Financial Service’s securitization transaction for their financial leasing portfolio amounting to EGP 2.54 billion, which comes as part of a wider 3-year multi-issuance program with a total value of EGP 10 billion.
- Advided Madinet Nasr for Housing & Development Securitization transaction amounting to EGP 805,500,000 from a multi-issuance program with an amount of 3 billion.
- Advised El Oula Mortgage Securitization transaction amounting to EGP 998.5 million from a multi- issuance program with an amount of 3 billion.
- Advised Bedaya Mortgage Securitization transaction amounting to EGP 958 million from a multi- issuance program with an amount of 3 billion.
- Advised the New Urban Communities Authority’s securitized bond issuance with a value of EGP 20 billion.
- Advised the New Urban Communities Authority’s first securitization transaction amounting to EGP 15 billion from a multi-issuance program with a total value of EGP 30 billion.
- Advised Enmaa Finance Company first securitization transaction for their financial leasing portfolio amounting to EGP 759 million, as part of a wider 3-year multi-issuance program with a total value of EGP 2 billion.
-Advised Egypt’s leading BNPL ValU on Egypt’s 1st Fintech bond asset backed securities transaction amounting to EGP 322.550 million of a 2 billion short-term multiple issuance program
- Advised a major consumer finance company on its securitized bond issuance with a value of EGP 562 million.
