Hillary represents issuers and underwriters in all forms of capital raising transactions, including IPOs, sustainable finance, high yield bonds, investment grade debt, equity offerings, PIPE’s, preferred stock, and spin-offs. Hillary serves as regular counsel to public and private companies on ESG matters, SEC reporting, and governance. Hillary frequently advises boards of directors, special committees and financial advisors in M&A transactions, including public mergers, take privates, and acquisitions. She brings an expertise in the oil and gas and energy transition industries.
