Fernando Zorzo practices in the capital markets and M&A areas, with an emphasis on equity transactions, such as initial public offerings (IPOs), follow-on offerings and tender offers (OPAs), as well as debt transactions, such as public offerings of debentures, commercial notes and bonds. He also advises publicly traded companies on corporate law and regulatory matters, administrative sanctioning proceedings before the Brazilian Securities Commission (CVM), corporate reorganisations and corporate restructuring transactions.
Fernando Zorzo acted in several relevant transactions recently, such as the investment of YvY Capital in Stec, the follow-ons of Eneva and Energisa, the business combination between Enauta and 3R, the issuance of debentures by Auren for the financing of the acquisition of AES Brasil, the delisting tender offer of Grupo Alfa by Safra, and the acquisition and delisting tender offer of CEEE-T by CPFL.
