Mac is a member of the Firm’s Executive Committee and litigates corporate, alternative entity, and commercial disputes in the state and federal courts in Delaware. His practice includes representing special litigation committees and litigation related to mergers and acquisitions, contests for control of corporations and alternative entities, and statutory proceedings. Mac has litigated a variety of cases involving important developments in Delaware law, including the MFW and Trados doctrines, controlling stockholder status, the enforcement of “anti-reliance” provisions, the legal standard governing stock reclassifications, and interpretation of alternative entity agreements.
