Experience

Mr. GAN serves as the Senior Partner of JT&N, with practice areas including Private Equity Investment, M&A and Restructuring, Banking and Finance, Litigation and Arbitration, along with his outstanding capabilities to lead and assist in foreign related matters. Mr. GAN possesses extensive experience in acting for clients with expertise in industries including emerging technology, commercial real estate, retail and franchise, TMT. By virtue of his curriculum, Mr. GAN has been engaged by Fudan University, East China University of Political Science and Law, Tongji University and Shanghai University of Political Science and Law as a lecturer for master of laws, and has been awarded honors including the “Rising Star” with IFLR1000 China, “Key Lawyer for Private Equity: PRC Firms” with The Legal 500, and “Up and Coming Lawyer for Corporate/Commercial: Shanghai” with Chambers & Partners, “2022 Deal of the Year” with China Business Law Journal.

Mr. GAN’s representative achievements in the area of Equity Investment include: represented Qi-Biodesign to obtain its seed-round financing of more than USD 20 million (updating the financing record in the practice field of gene editing) and series Pre-A financing of more than hundreds million; represented Lingfang New Energy to obtain its series A financing of more than hundreds million (the leader of mainstream sodium ion cathode materials in China); assisted Zhonghong Mining with series B financing (specialized in the area of self-driving mining machine); represented Fantwave to obtain its series Pre-A financing (benchmarking KYOCERA in Japan); represented Milestone Biotechnologies to obtain its series B financing (one-stop service provider in the field of cell gene therapy); assisted Tiantong Tech with series C financing (self-driving technologies in vehicle); assisted Xiezhong Auto with series A financing (vehicle air conditioning); represented Three Body Universe for completing series A financing of USD 50 million, series B financing and billion CNY share transfer transaction (the copyright holder of "The Three body Problem" novel series); represented Yanmo Network in its angel financing of over RMB 200 million (the largest single investment made by Bilibili of the year); represented Best Oray Information Technology for completing oversea financing of over RMB 100 million with Gaocheng Capital (SaaS); represented Chelsey House for completing a series A overseas financing of around 100 million RMB (whose brands include Zimmermann, Mackage); and represented CDH Investment, Sequoia, Oriza, WI HARPER Group, Light Speed, Jifeng Venture and other funds, listed company for completing private and strategic investment.

■ M&A and Restructuring

Benefiting from his rich practical experience accumulated from leading large-scale M&A, restructuring, and JV projects, Mr. GAN has a profound knowledge basis in the planning of shareholding structure, tax planning and SOE procedurals. Mr. GAN managed to complete swiftly a number of landmark cross-border acquisitions and joint venture projects, proposing constructive solutions to the practical needs, and has handled a series of projects in the field of bio-medical, green energy and emerging technologies.

Mr. GAN ’s representative achievements in the area of M&A and restructuring includes: assisted Shanghai Jinshan District and Fosun Group in entering into an Investment Agreement so as to jointly construct the Jinshan Costal International Tourism Resort, being a project with a total investment of RMB50 billion; assisted Parkson Group and Hongxiang Group in establishing a joint venture with a total investment of RMB1.55 billion (the largest investment made by Parkson of the year); assisted Banyan Tree Group in providing legal services relating to its onshore joint venture, the acquisition of underlying assets and the subsequent closing with VANKE Group (benchmark project in the real-estate industry); assisted HITACHI with the acquisition of Telesis (an international company with internationally leading laser marking technology); represented Langgoal Holding and Ted Baker brand in establishing a proportional joint venture for China region in Hong Kong with a total investment of over RMB100 million.

■ Banking and Finance

Relying on his proficiency in the laws and regulations for investment and finance, Mr. GAN has been mandated by various leading entities in the field, Fortune 500 companies and listed companies to render an array of services covering banking and financing. Mr. GAN has represented various of his clients to handle project financing, syndicated loans, acquisition financing, trust arrangements, financial leasing, ship and other asset financing, together with his unique insight and research in financial technologies.

Mr. GAN ’s representative achievements in the area of banking and finance include: represented HHGrace for obtaining a series of bank loans totalling up to nearing USD 3.3 billion led by China Development Bank (CDB); represented HHGrace Real Estate for obtaining billions of development loans from China Merchants Bank (CMB); and represented Parkson in consummating a syndicated financing of HKD3.9 billion, which is the first “cross-border direct” syndicated loan provided by a domestic bank to an offshore company under the Shanghai FTZ mechanism; represented Singapore Banyan Tree Group for the loan acquisition services of “establishment of domestic joint ventures and asset acquisition between Banyan Tree and VANKE Group”

■ Litigation and Arbitration

Mr. GAN has represented clients in numerous litigations and arbitrations in the Zhejiang Higher People's Court, Jiangsu Higher People's Court, Henan Higher People's Court, the Supreme People's Court, the Shanghai International Arbitration Centre (SHIAC), the China International Economic and Trade Arbitration Commission (CIETAC), and the Shanghai Arbitration Commission (SAC), gaining rich experience in foreign-related dispute resolution. The cases Mr. GAN has represented include: represented Anhui HUAXIN in a private loan dispute with the amount of RMB 300 million; represented Dah Chong HK to gain a judgment in favour of the client in a series of disputes involving financial leasing with the amount of RMB80 million; represented Putiandi to gain a verdict in favour of the client for the concerned VAM agreement dispute with the amount of RMB40 million, and acted as an attorney of Bentley 4S shop to gain a judgment in favour of the client in the case of "Refund One and Compensation Three" for counterfeit.

Work Highlights

■ Represented Jinshan New Town Construction and Development Co., Ltd., Jinshan District Government, Fosun Group and Fosun Production and Development to jointly construct and develop the Jinshan Costal International Tourism Resort through joint venture cooperation, with a total investment of RMB 50 billion yuan;

■ Represented HHGrace Hongli in the overall investment and financing project of USD$3.3 billion in the HHGrace Wuxi Project, including negotiating and obtaining a syndicated loan with China Development Bank at a total amount of USD$1.5 billion;

■ Represented Parkson Group in the syndicated loan project with a maximum loan amount of HKD$3.9 billion and provided an array of legal services from start to end (the matter has been recognized as the first "cross-border direct" syndicated loan provided by a pure domestic bank to an overseas company within the Shanghai FTZ mechanism);

■ Represented Qi-biodesign which is led by world-renowned gene editing scientist GAO Caixia for obtaining the largest angel round investment completed so far in the field of gene editing in China, with a total investment amount of RMB 140 million;

■ Represented Parkson Group and Hongxiang Group in establishing a joint venture company to jointly bid for and operate the commercial and residential land plot No. 2020-22 in Jiaxing, with a total investment of RMB 1.55 billion, which was also the largest investment done by Parkson Group of the year;

■ Represented Youzu Network in a series of domestic and foreign investment projects such as BAA Business Jet, OMG E-sports, Xiyu Graphics, Hongzhuo Fund, etc., and completed bulk stock transactions on behalf of its major shareholders, with a total amount of more than RMB 2 billion;

■ Represented the Banyan Tree Group in developing a series of hotel management projects (covering the Banyan Tree, Angsana, Dhawa and Cassia) in many cities in China, and responsible for the negotiation and signing of agreements in all aspects of hotel management.
