Anna Rips represents investment advisers in connection with the structuring and distribution of U.S. and international private offerings of investment funds, including hedge funds, private equity funds, private credit funds, hybrid funds and fund of funds and in connection with managed accounts, funds of one and investment advisory agreements. In addition, she represents private funds and investment advisers in structuring and negotiating seed and strategic investments, joint ventures and co-investments. Ms. Rips's practice also includes representation of institutional investors in all aspects of their investments in private investment funds, managed accounts and investment advisers. She regularly advises new fund sponsors in the establishment of cross-border investment vehicles and management platforms. Ms. Rips advises clients on related general corporate and regulatory matters, such as compliance with the U.S. Investment Advisers Act, the U.S. Investment Company Act, and the rules and regulations of FINRA.
