Andrew is a corporate attorney who represents private equity firms and privately held businesses, with deep experience advising entrepreneurial and multigenerational family-owned enterprises. Andrew’s practice spans many industries, including private equity, distribution and manufacturing, investment banking and financial services, waste management, pharmaceuticals, landscaping, dental services, pet wellness, sports and entertainment, technology and software services, and insurance services, as well as restaurant, spirit, and food services.

On the counseling side of his practice, Andrew provides clients with strategic advice about business operations, corporate governance, joint ventures, management buyouts, syndications, commercial lending transactions, and executive compensation packages.

In his transactional work, Andrew guides clients through sophisticated mergers, acquisitions, divestitures, restructurings, recapitalizations, generational transfers, partnership agreements, management buyouts, commercial lending transactions, equity and debt financings, and private placements. He provides comprehensive counsel on transaction structuring, tax planning, diligence, and the preparation of transaction documents. Andrew works with private equity funds to acquire portfolio companies, complete add-on acquisitions, handle day-to-day legal work for portfolio companies, and eventually sell those companies.
