Real Estate:

ZBV has unique expertise in the real estate market, and 40 years’ experience advising developers and investors in projects that profoundly changed the way real estate transactions are carried out in Argentina. The firm advises clients in all sub sectors: commercial, residential, special housing and mix used developments, shopping centers, retail and hotels. It is also very active in the agricultural sector and other industries with a real estate component advising domestic and international clients in all aspects of the business.

Capital Markets, Banking & Finance:

A leader in the field, ZBV provides legal assistance in domestic and international capital markets transactions acting for both issuers and banks. The firm represents one-third of the most active and representative Argentinean issuers listed in BYMA and foreign exchanges, and banks as well. It specialises in debt restructuring and liability management and advises on financial matters, including investment fund, stock options, derivatives, private banking and wealth planning, cross border syndicated loans, credit facilities and securitisation. ZBV counsels clients on day-to-day regular banking and regulatory matters, and compliance with securities laws.

Corporate/M&A:

Renowned for its extensive expertise, ZBV represents sellers and buyers in all industry sectors in the due diligence, structuring, negotiation of subscription, purchase and sale agreements, strategic alliances, business collaboration, joint ventures, shareholders agreements, operating agreements, management agreements, purchase and sale of on-going concerns, put and call options, business combinations, mergers, acquisitions, private equity and venture capital operations, and public tender process. The firm represents local and international clients on day-to-day traditional corporate matters, and advises on foreign investments in Argentina.

Litigation, Mediation & Arbitration:

Advises on commercial and civil litigation, including class actions, corporate law, bankruptcy law, labour, banking and intellectual property conflicts. The litigation team is respected for its handling of complex civil and commercial as well as arbitration disputes.

Energy & Natural Resources:

Represents local and international energy, mining and oil and gas companies. The firm’s background includes tenders process, acquisition of assets and their financing, joint ventures construction and operation agreements, in addition to standard contracts and International Purchase Offers (IPO) related to mining and oil and gas assets. ZBV advises on the applicable environmental laws and participates in projects for the construction of gas pipelines, transportation concessions, pumping plants and energy facilities further to the recent renewable energy tenders.

Insolvency, Restructuring & Distressed M&A:

Advises lenders and debtors in their in and out-of-courts restructuring processes, helping them find innovative and cost-effective solutions. ZBV represent its local and international clients in distressed M&A deals, such as distressed buying, asset purchase agreements or deep financing. It efficiently handles complex, large-scale restructurings and provides comprehensive advice to clients in all their insolvency issues.

Public & Regulatory Law:

ZBV’s Public & Regulatory Law Area advises and represents national and international clients on a whole range of local Constitutional, Administrative and Regulatory Law matters. One of our main strengths lies in the deep knowledge not just of local laws and regulation but also of regulatory practice and custom, which we have developed over years of providing services to the most demanding clients on complex and innovative matters. This allows us to tailor solutions that are creative, practical and effective while at the same time streamlining processes, times and costs of implementation involved.

IT Law, Privacy, Digital Transformation and Artificial Intelligence:

It provides advice to companies and public entities on legal and organizational issues related to the implementation of technology in the business environment, including electronic contracts, procurement of IT goods and services, personal data protection, artificial intelligence, blockchain, legal aspects of information security, cybercrime and consultancy in depapelization and digital transformation.

Sports & Entertainment:

Advises on the organisation, production, promotion and marketing of sports and entertainment events, contracts, including transfers, management and sponsorships agreements, labour, tax, civil responsibility, regulation, governance and compliance, international private law, image and intellectual property, with experience dealing with leading national and international artists, agents and promotion companies.

Tax Law:

Advises international and domestic clients on tax planning and litigation. The team specialises in corporate transactions, such as cross-border M&A, tax-free reorganisations, foreign investments and international financial transactions.
