The Companies Ordinance (Chapter 622 of the Laws of Hong Kong) has been amended to introduce an “implied consent mechanism” for both listed and unlisted Hong Kong incorporated companies to disseminate corporate communication by electronic means.
《公司条例》(香港法例第 622 章)已作出修订,引入 “默示同意机制”,容许在香港注册成立的上市及非上市公司以电子方式发布公司通讯,新机制将于 2025 年 4 月 17 日生效。
《公司条例》引入库存股份制度将令香港与开曼群岛及百慕达看齐,因此,于香港成立的上市公司无须一定注销其回购的股份。
Companies Ordinance of Hong Kong will include a Treasury Share Regime for Listed Companies
The introduction of the treasury share regime to the Companies Ordinance brings Hong Kong on a par with Cayman Islands and Bermuda. Accordingly, a Hong Kong incorporated listed company will no longer be required to cancel bought-back shares.
