Mergers & Acquisitions:
Vriman acts for buyers, sellers, target or management. Whether structured as a share or asset sale, organised as an auction or bilateral sale process – the firm has the legal experience and pragmatic approach to get the deal done.

Joint Ventures & (Minority) Investments:
Vriman has the experience and knowledge to best protect your deal specific interests as a minority-, majority- or 50/50 shareholder and whether being an investor, a (re)participating manager or otherwise.

Venture Capital:
Vriman advises both investment funds as well as start/scale-ups in early stage and follow-on investments. The firm has successfully completed multiple seed financings as well as Series A, B and C follow-on transactions to the satisfaction of its clients.

Corporate Law:
Vriman advises financial investors, corporate clients and management on all kinds of corporate law matters, including advising on director’s duties and liabilities, board structures (one tier, two tier, shareholder committees) and the setting-up of board regulations and board committees. The firm also provides legal opinions with respect to corporate law related matters.

Private Equity:
Vriman has an extensive track-record in advising (international) financial advisors on a wide range of buyout deal types, secondary/add-on transactions, joint ventures/minority investments and management incentive plans. The quality of the firm's practice is best evidenced by the close continuing relationships it has built with its (international) private equity clients.

Commercial Contracting:
Vriman advises on a variety of commercial contracts. Including procurement-, management-, manufacturing-, supply-, (transitional) service level-, maintenance- and support agreements. Also, the firm offers in-house any type of employment law advice in relation to transactions (management agreements, appointments/dismissals and employment agreements).

Restructurings & Carve-Outs:
Vriman advises companies on a wide range of restructuring scenarios and carve-outs. The firm has completed a number of restructurings for companies in financial distress or otherwise, as well as (pre-transaction) carve-outs.

Recent (year 2020) transactions of Vriman include the acquisition by Gimv of AME, the acquisition by Alliander of TReNT, the investment by Three Hills Capital Partners in the Borealis Hotel Group and the acquisition by DFDS of the Huisman Group.
