M&A:

The practice is recognized for high quality work on M&A transactions of all types, acting for a broad number of Nordic and European private equity funds, state-owned companies and several large industrial corporates. The firm is also well known among the leading Swedish corporate finance firms and departments of audit firms for its work on sales mandates for entrepreneurs divesting their companies. The team continues to advise on some of Sweden’s and the region’s most demanding transactions and often acts as lead counsel in complex cross-border projects involving multiple jurisdictions in the Nordics and beyond.


Banking & Finance:

The team advises Swedish and international companies, private equity funds, banks and other financial institutions on a broad spectrum of domestic and cross-border financing transactions, including debt capital markets deals. The team offers expertise in bilateral and syndicated lending, mezzanine debt financing, issuance of bonds, notes and other debt instruments, acquisition finance, real estate finance, asset and project finance, export and trade finance, structured finance and securitisations, sale and leaseback transactions, derivatives, venture capital lending, workouts and debt restructurings. The practice also advises on regulatory and compliance issues.


Capital Markets & Public M&A:

TM oversees and manages all types of capital markets transactions, from stock exchange listings and public takeovers to capital raisings and restructurings. The team advises Swedish and international listed companies and other players such as private equity and venture capital funds, investment banks, investment funds and securities companies, and other stakeholders within the capital markets area. The team also assists clients with regulatory matters including, e.g., licensing and disclosure requirements in general and legal issues associated with the establishment of fund structures.


Real Estate:

TM provides expert advice on acquiring and selling real estate and real estate companies, as well as assistance with financing of real estate transactions. The clients include both Swedish and foreign players, including private and listed real estate companies, real estate developers, funds and institutions. The team maintains excellent relations with leading property experts at foreign law firms and offers assistance in cross-border transactions. In addition to transactional advice, the group provides assistance with commercial leases, tenancy disputes, property registration and permit issues, land development, expropriation and other compulsory purchase issues.


Dispute Resolution:

TM provides legal advice and architects commercially beneficial solutions to safeguard and promote the clients’ interests in the event of an uprising dispute. The team’s approach is focused on the clients’ interests, not to make big cases. However, if the dispute cannot be managed without formal dispute resolution, the team has profound experience of successfully representing clients in complex commercial litigation in Swedish courts as well as through arbitration, domestic as well as international.
