Established in 1990, The Law Counsel is an international law firm based in Bangladesh which is widely recognised as one of the leading firms in the country. It was founded by Mr Abdur Razzaq, currently the senior partner of the firm and in the year of its inception had only two associates. In the last 25 years, the firm has grown in size and stature, with many of its former associates establishing successful independent practices of their own.
The Law Counsel regularly collaborates with foreign firms such as Baker Mckenzie LLP, Field Fisher and Norton Rose Fulbright LLP in providing services in Bangladesh. The firm’s associated office in London provides consultancy services regarding various aspects of UK and Bangladesh legislations. The firm’s senior partner, Mr Abdur Razzaq, practices in both Bangladesh and the United Kingdom.

Arbitration:

Lawyers from The Law Counsel have been involved in arbitration proceedings both as arbitrators and counsel. The firm successfully defended the Bangladesh Petroleum Corporation against a claim for damages for failure to accept delivery of petroleum products. It has also successfully represented a Malaysian company in a multi-million dollar international commercial arbitration. The firm has extensive experience of dealing with litigation arising out of arbitration proceedings, and is currently involved in enforcing an ICC award against the Bangladesh Power Development Board.

Banking & Finance:
During the last year, the firm handled close to 50 deals, advising on legal aspects of the loan transactions, including executing international commercial agreements and investment contracts drafting, arranging syndicated financing and scrutinising and verifying security and property documentation. The firm has a large banking practice and acts as legal adviser to many commercial banks and business houses and has special expertise in Shariah based financing. Recently, the firm represented the country’s leading private bank with regard to an investment of more than USD 20 million under a syndicated finance arrangement for the construction of a mega power plant.

Employment & Labour:
The firm has a substantial employment and labour practice in Bangladesh and regularly drafts employment contracts for both foreign and local companies and examines pre-drafted contracts for compliance with Bangladesh law. It also advises companies with regard to processes in relation to dismissal/removal/termination of employees. The firm also has special knowledge and experience of advising on Employee Share Programmes of foreign companies interested in offering performance based awards to employees of local subsidiaries.

Foreign Investment:
The firm is experienced in providing legal assistance to foreign entities in registering a presence in Bangladesh, including advising on incorporation/liquidation and setting up liaison/branch offices as well as advising as to the possible legal structures for entry into the Bangladesh market.

Intellectual Property:
The firm has a dedicated team engaged in registering foreign trademarks in Bangladesh and attending hearings before the Trademarks Registry. The firm regularly represents clients in passing-off and trademark litigation before the District Court and the Supreme Court. Recently the firm represented Novartis, the Swiss multi-national pharmaceutical company in a trademark appeal in the Supreme Court which culminated in an out of court settlement.
