Corporate M&A

The Corporate M&A team is engaged in acquisitions, mergers, joint ventures, disposals of companies and shareholdings and, in general, all extraordinary transactions related to the transfer, aggregation and reorganization of private and listed companies. The team assists Italian and international clients, such as industrial groups, private equity, venture capital and private debt funds, investment banks and advisory firms, as well as family companies and individuals, in leveraged/management buy-outs and management buy-ins, crowd funding and start-ups.

The team is led by partners (in alphabetical order) Tommaso Amirante, Fabio Coppola, Gaia Guizzetti and Andrea Raffaelli.

Litigation and ADR

The Litigation and ADR team assists corporate and private clients in civil and commercial litigation, handling complex disputes for Italian and international clients before national courts and in arbitration proceedings. The team is routinely involved in highly complex disputes in Italian and English, even with multiple jurisdictions involved, relating to M&A transactions, shareholders’ agreements, joint ventures, commercial contracts, intellectual property and competition, banking, finance and insurance law, distress and insolvency, corporate bodies liability, challenges of corporate resolutions and financial statements, as well as inheritance.

The team is led by partners (in alphabetical order) Matteo Bazzani, Emanuele Breggia, Antonio Distefano and Chiara Mariani.

Tax

The Tax team provides tax advice and planning for Italian and international individuals and companies, private equity funds and financial intermediaries mainly in the context of extraordinary corporate transactions, in the structuring of compensation package for directors, executives and key people, in direct and indirect tax and financial statement issues, in the real estate sector, in planning for generational transition and in relation to tax monitoring issues. The team deals with tax authorities in the context of tax audits, pre-litigation and settlement agreements, as well as in the context of tax litigation before the Tax Courts and the Supreme Court.

The team is led by partners (in alphabetical order) Enrico Cossa, Martino Demaria, Michele Malfitano, Alfredo Malguzzi and Pietro Villa.

Restructuring & Insolvency

The Restructuring & Insolvency team assists Italian and international distressed companies, investors and creditors in connection with debt restructuring, turnaround operations, debtor-in-possession financing and insolvency proceedings, offering professional and goal-oriented advice to safeguard and increase value as well as

advising investment and restructuring funds and other investors in distressed scenarios and so-called special situations to support in seizing investment and/or financing opportunities, including through the implementation of loan-to-own strategies.

The team is led by partners (in alphabetical order) Matteo Bazzani and Chiara Mariani.

Administrative

The Administrative team provides a wide range of consulting and litigation activities in the area of administrative law to private and public, Italian and foreign, industrial and financial enterprises. In addition, the team deals with energy, construction, urban planning, real estate, environmental law, public procurement, concessions, project finance and public-private partnership (PPP) matters, as well as private and public health care.

The team is led by partner Domenico Segreti.

Labour

The Labour team represents Italian and international clients in labour and union law proceedings before the court, also providing assistance and advice concerning employment contracts, including those for managers, executives and self-employed personnel, agency and commercial representation contracts, disciplinary procedures, transfers and secondments, particularly abroad, and any other institute pertaining to the employment relationship (including social security, sickness, accidents, health and safety).
