Finance & Banking:
■ Acted as local counsel to Standard Chartered Bank London, FMO, European Investment Bank and BNP Paribas, as the outgoing lenders, in connection with the USD$403 million project re-financing of the 250 MW Bujagali II hydro power project
■ Acting for the borrower in connection with a USD$40 million facility from a European DFI for the development of a cogeneration plant and factory refurbishment
■ Acting for the Trade and Development Bank (PTA Bank) for a USD$11.5 million project financing to the developer of a 9.6 MW run-of-river hydropower plant

Corporate, Commercial & M&A:
■ Advising the publicly-traded Stanbic Bank Uganda Limited, Uganda’s largest bank, on a corporate reorganisation by which the bank is altering its corporate structure by creating a holding company structure, transferring the banking business undertaking to a banking subsidiary and forming specialist subsidiaries
■ Acted for Savannah Commodities and Grainpulse Limited, two indigenous agro-commodity companies, in relation to a business reorganisation and subsequent equity investment by K+S AG, a German chemical company listed on the Frankfurt Stock Exchange
■ Acting for a leading private hospital and the disposing majority shareholder for a combined USD$14 million equity purchase and share subscription by an International Finance Corporation-backed private equity fund dedicated to small-medium size investments in private healthcare companies
■ Acting a leading American private equity investment firm for its indirect equity acquisition of a majority equity stake in a leading dairy processing firm
■ Advising MTN Uganda Limited, Uganda’s largest telecommunications company, on the renewal process for its telecommunications license

Projects & Infrastructure:
■ Acted as local counsel to the lenders, led by the International Finance Corporation and the African Development Bank as mandated lead arrangers, for the USD$403 million refinancing of the 250 MW Bujagali hydro-power project
■ Acting for the National Social Security Fund (as the private counterparty) for the development of a multimillion- dollar government campus on a public-private partnership basis (build, own and transfer) with the Government of Uganda
■ Acting for two global renewable energy companies for the 100% equity acquisition of a partially-developed 10 MW solar photovoltaic power station, and subsequent USD$12 million project financing by Proparco
■ Advising a utility-scale solar energy project developer on the proposed establishment of 500 MW modular solar photovoltaic power plants in Uganda
■ Advising an Australian exploration company on its proposed acquisition of a leading Ugandan tin-mining company

Capital Markets:
■ Acted as Ugandan counsel to Vivo Energy plc in connection with Vivo Energy plc’s listing on the London Stock Exchange, and to listing and trading as a secondary inward listing on the Johannesburg Stock Exchange
■ Acted as legal adviser to dfcu Limited, a financial services group, on its USD$55 million rights issue and listing of additional shares on the Uganda Securities Exchange
■ Advised the Uganda Securities Exchange on its demutualisation (conversion from a member-owned exchange to a self-regulating for-profit entity)

Employment & Employee Benefits:
■ Advised AIG Insurance on the resolution of its retirement benefits scheme in Uganda following AIG Insurance’s closure of business in Uganda, including advising on the redundancies arising from the closure of business
■ Advised Marie Stopes on the corporate reorganisation of its operational entities in Uganda resulting into a merger of operations into one entity, including the migration of employees into one single entity and a number of redundancies
■ Advised Oikocredit on its business closure in Uganda, including the laying-off of in-country staff
■ Conducted an organisation-wide sexual harassment investigation on behalf of an international non-profit organisation in Uganda
■ Advised Grainpulse Limited, an indigenous agrocommodity company, on the transfer of employment following a business reorganisation

Tax/Tax Disputes:
■ Acting for TOTAL E&P, Tullow Operations and China National Offshore Oil Corporation in a complex, multimillion- dollar tax dispute with the Uganda Revenue Authority
■ Acting for British American Tobacco Uganda in a tax dispute with the Uganda Revenue Authority arising out of the treatment of royalties in respect of the importation of a premium cigarette brand
■ Acting for Vivo Energy Uganda in an income tax dispute with the Uganda Revenue Authority relating to the tax treatment of advance rent and premium on lease properties

Dispute Resolution:
■ Acting for the Central Bank in connection with a landmark breach of trust and fiduciary duty claim against the former shareholder of a distressed financial institution and a related party to the shareholder
■ Acting for dfcu Bank Limited in defending high-value litigation arising out dfcu Bank’s purchase of the assets and assumption of liabilities of Crane Bank Limited (following the placement of Crane Bank Limited into receivership by the Central Bank)
■ Acting for Barclays Bank of Uganda in defending a complex and high-value claim for fraud and breach of duty in relation to the receivership of a borrower
■ Acting for TOTAL E&P, Tullow Operations and China National Offshore Oil Corporation in a landmark and complex lawsuit that challenges the validity and legality of exploration and production licences issued to the oil companies, including a challenge of the Government of Uganda’s constitutional trustee ownership of mineral resources
