This area of law has grown substantially in the past years. The firm has a team dedicated to protect and advise clients on this particularly sensitive area. Project Finance & Financing Agreements:
The firm has participated in many important transactions that have taken place in recent years. In particular, we have participated in the financing of three of four extra-heavy oil projects in Venezuela, and them in the refinancing of such projects as a consequence of the nationalization undertaken by the Venezuelan government. The firm advised Banco de Desarrollo Económico de Brasil (BNDES) in a facility to an affiliate of Petroleos de Venezuela, S.A. (PDVSA), and participated as counsel to the lenders in an initial phase of the financing for a gas project. Rodríguez & Mendoza has counseled ONGC Videsh Ldt. in the structuring and negotiation of the financing to Petrolera Indovenezolana, S.A. (a mixed company between PDVSA and ONGC Videsh Ltd.) for the development of the San Cristobal Oil Project. The firm has counseled ENI SpA in the financing of US$ 2 Billion revolving facility for the development of Petrojunin and Petrobicentenario oil projects (mixed companies between PDVSA and ENI SpA). The firm has advised a group of Japanese investors in a US$ 3,5 Billion to PDVSA. The firm counselled China Development Bank in the US$ 20 Billion loan to Venezuelan BANDES, the largest loan ever granted in Venezuela. The firm represents a significant number of clients in major financing transactions, acting mostly for lenders and arrangers.

Rodríguez & Mendoza has extensive expertise in the oil and gas sector, and is widly regarded as one of the leading firm in this area. The firm has rendered legal advice to private sponsors in the structuring of mixed companies for oil and gas projects, project under gas licenses as well as in several petrochemical projects. The firm has also prepared, reviewed and analyzed contracts, complex legal tax scenarios, EPC agreements, drilling platform and pipeline agreements, permits, environmental issues and the like.
