Principal Areas of Work:
Rodriguez & Mendoza renders specialized services in most of the areas of law, oriented to provide legal services to international and domestic corporations under one roof. To that effect, we provide services in taxes, labor law, environmental, compliance, banking and finance, oil and gas, petrochemical, corporate law, administrative and regulatory law, litigations and dispute resolutions, among others.

Tax:
This is one of the most active practices of Rodriguez & Mendoza. We are constantly involved in the planning and optimization of tax structures, tax risk assessments, interpretation of tax regulations and the impact of cross border regulation in international transactions and projects. We advise multiple corporate and individual clients in their day-to-day needs on taxes, as well as representing them before tax court and tax authorities, administrative appeals and tax litigation. Some of the partners and attorneys that work in this department are or have been professors at the most important universities of Venezuela.

Labor:
Another very large and important practice of Rodriguez & Mendoza is the labor department. We constantly participate in the handling of collective union negotiations, hirings, labor negotiations, calculations of Social Benefits, accident and occupational diseases management, employment contracts, as well as court and non-court procedures.

In thelabor areawe deal with the design and implementation of labor compensation schemes, design and negotiation of collective bargaining agreements for the food, pharmaceutical, oil and gas, petrochemical, automotive and manufacturing sectors, among others.

Oil, Gas and Petrochemical:
Rodriguez & Mendoza have been providing uninterrupted services in the oil, gas and petrochemical sector almost since the beginning of the 20th century, representing the largest international companies.

We have participated in a wide array of projects and oil and gas contracts, such as association agreements, gas licenses, mixed companies formation for the participation of private companies in the oil sector, EPC’s agreements, pipeline and port facility agreements; the project financing of the largest projects in the country, nationalizations and restructuring of projects, among many others.

We represent several international oil companies in their day-to-day activities and the handling of multiple contracts and regulations.

In the petrochemical sector we have represented and continue to represent several projects in all matters related to their operations in a very regulated and complex environment.

Corporate:
Rodriguez & Mendoza has a very robust and busy corporate department which is in charge of our client’s corporate day-to-day activities. Our compliance department under the corporate section advice clients on the multiple tasks that the compliance requirements and regulations demand. In addition, we are constantly involved in restructuring, mergers, divestitures, acquisitions, purchase and sale of assets and various corporate governance matters. We advise on the day-to-day legal needs of companies doing business in Venezuela.

Banking and Finance:
Traditionally this is one of the stronger areas of practice. We have participated in most of the largest financing that have taken place in Venezuela, the project financings and multiple corporate and multilateral finance, syndicated loans, asset securitization, short-term debt issuance, commercial paper, among many other transactions. We also advise international financial institutions in their dealings in Venezuela, and some of the Venezuelan largest banks on day-to-day regulations and compliance issues.
