RC Law LLP was established in January 2017 in New York and Miami by Xavier Ruiz, following over two decades of practice in some of the world’s leading law firms, including Baker & McKenzie, K&L Gates, and Holland & Knight. Mr. Ruiz’s extensive experience also spans legal practice in Spain and Argentina. Since its inception, RC Law has organically expanded by welcoming a cadre of skilled attorneys from diverse backgrounds.

Mergers & Acquisitions

Our Mergers & Acquisitions practice focuses on domestic and cross-border transactions, including mergers, stock and asset purchases, leveraged buyouts, joint ventures, private equity, and corporate reorganizations. Our team of diverse attorneys is well-equipped to handle the challenges and nuances of cross-border transactions, leveraging their experience, knowledge of different jurisdictions, and commitment to innovation and teamwork.

Finance

Our Finance practice specializes in a broad array of financial transactions, including structured finance, asset-based financings, acquisition finance, leveraged acquisitions, recapitalization transactions, as well as syndicated and bilateral loans.

Corporate

RC Law regularly assists non-U.S. companies in establishing a presence in the United States. We advise clients on the choice of entity and jurisdiction, decisions often driven by tax considerations, and manage the formation of the selected vehicle. Our firm guides clients until their new company is ready to operate, after which we provide ongoing advice on corporate governance and compliance.

Venture Capital

RC Law’s Venture Capital practice focuses on supporting companies throughout every stage of the capital-raising process. Our team provides legal solutions to entrepreneurs and emerging businesses seeking seed funding, as well as to companies focused on growth and successful exit strategies. In addition, we advise a diverse range of investors, including angel investors, venture capital funds, and family offices, all of whom benefit from our innovative and tailored strategies.

RC Law’s Real Estate practice offers clients comprehensive representation across a broad spectrum of real estate matters. This includes the purchase and sale of residential and commercial properties, as well as complex real estate development, investment, management, financing, and leasing in diverse industries such as luxury retail and hospitality.

Employment

Our services include identifying and managing employment risks, providing litigation avoidance counseling, conducting workplace investigations and audits, preparing any needed employment documents, advising on executive compensation and employee benefits matters, and counseling on employment matters in the context of corporate transactions.

International Trade

RC Law assists businesses with legal guidance and strategic advice to successfully navigate the challenges of cross-border commerce. With deep expertise in U.S. trade regulations, we provide tailored solutions to meet the diverse needs of our clients in industries such as manufacturing, retail, agriculture, and technology, among others. Our team helps clients navigate import/export regulations, mitigate risks, and address varying requirements across different U.S. states.

Tax

We advise on the design and execution of tax-efficient structures for mergers, acquisitions, joint ventures, and corporate reorganizations. With a strong international tax capability, we guide clients through cross-border investments, entity formation, transfer pricing, and compliance with U.S. and global tax regulations.

• US counsel to Chemo Project (Insud Pharma) and Becaril (Laboratorio Elea), as anchor investors, in the private placement of an aggregate amount of $130 million in SEC registered Procaps Group, S.A., a leading Latin America integrated pharmaceutical and healthcare company, headquartered in Luxembourg.
• US counsel to Global Via Publica in its acquisition of Clear Channel Outdoor Holdings, Inc. (NYSE: CCO) subsidiaries in Chile, Mexico, and Peru. Clear Channel is a world leader in billboard and outdoor advertising.
• US counsel to Global Critical Logistics, the parent company of Rock-it Cargo, and global leader in live events logistics, in the acquisition of Magusa Global Cargo business, the Miami-based specialty logistics provider who is the market leader amongst Latin artists. Local counsel to GCL was Perez-Llorca in Spain, Mijares in Mexico and Rebaza Alcazar in Peru.
• International counsel to Hispanogroup, an Ecuadorian oil & gas conglomerate, and its subsidiary Vepamil Lubricantes, in connection with the acquisition of ENI Ecuador S.A., the local subsidiary of Italian state-owned company.
• Advised Grupo Hotusa (Eurostars) in the acquisition of Winter Heaven hotel located at Ocean Drive, Miami Beach. This was the 4^th acquisition of Grupo Hotusa in the United States. Hotusa currently owns more than 260 hotels in 19 countries.
• Advised Insud Pharma, a global pharmaceutical group based in Spain with a 45-year track record and a presence in over 50 countries, in its acquisition of Agile Terapeutics (OTCQB: AGRX), a women's healthcare company based in New Jersey for an approximate enterprise value of $45 million.
• Legal counsel for Yurbban Hospitality Group in the expansion of its U.S. portfolio with the addition of the historic Lennox Hotel in Miami Beach.
• Advised Mediktor in the acquisition of 100% of the equity interests of Sensely, a California-based digital platform focused on the health and pharma industries, and its UK subsidiary. Mediktor is a leading digital healthcare provider and as a result of the merger, one of the largest global AI-based solution providers in the healthcare ecosystem has been created.
