Our corporate transactions practice focuses on cross-border transactions, including mergers and acquisitions, early-stage and venture capital transactions, joint ventures and corporate reorganizations. Indeed, many of our corporate deals have a non-U.S. component, be it the seller or the buyer’s residence or both. Quite often, parties to cross-border transactions choose New York or another law of the United States to govern their transaction. Most RC Law's team members are admitted in New York, Florida and/or other U.S. jurisdictions, as well as in a civil law jurisdiction, and are able to competently operate in several languages.

Recent work:

• Advised OpenPass Holding Corp., a Delaware company, in connection with its issuance of shares of common stock to Telecom Argentina S.A., representing 50% of the company’s capital stock, on a fully diluted basis. 
• Acted as buyer’s counsel for Azvi S.A.U. of Spain, on the acquisition of a combined 80% equity interest in two companies based in Texas, U.S. 
• Acted as New York counsel to Complejo Agroindustrial Beta S.A. of Peru in connection with the refinancing of a $111,800,000 loan from Metlife of New York.
• Acted as New York counsel to Pesquera Exalmar of Peru in connection with a $20 million IDB Invest senior secured financing.
• Acted as counsel to Ferrado Lido LLC, an affiliate of Ferrado Properties, on the sale of the 100-room, beachfront hotel Standard Lido Spa in Miami Beach, Florida.
