Dispute Resolution -Litigation / Arbitration:
Dispute Resolution is a core area of competence for the firm and has earned the firm the reputation of being tough, thorough, dynamic and innovative. Its renowned team have argued numerous cases at the highest courts and represented diverse clients, recording successes in a plethora of cases, some of which are published in the law reports. Some of our most recent cases include:
• Just recently, the firm represented a client in a proceeding for enforcement of judgment worth over $66million
• It has also represented a renowned multinational pharmaceutical company in several cases in Nigeria and the USA in relation to litigations resulting from the outcome of a clinical study and achieving perhaps the largest undisputed civil settlement in Nigeria
• The firm is retained with a major bank in Nigeria to represents them in court for litigious matters
• The firm successfully represented Senator Peter Nwoboshi of the Delta North Senatorial District from to the court of first instance to the Supreme court upholding his election as valid
• The firm is also involved in numerous complex arbitral proceedings across a broad range of sectors and is known for its in-depth and incisive review of cases, clients’ representation and enforcement of arbitral awards whether as arbitrator, counsel or arbitral secretary. The firm has represented top tier commercial banks in arbitration disputes worth over N2billion.

Capital Market Capital Market Law:

• Successfully represented the SEC in a lawsuit challenging its authority to enforce the use of electronic dividend payments
• Representing the commission in six different actions, filled by the company and its\directors bordering on the statutory functions of the commission
• Currently representing a client in its private placement of shares
• One of the advisors to Royal exchange PLC in the acquisition of shares in its general insurance subsidiary Royal Exchange General Insurance (REGIC) by the InsuResilience Investment fund (IIF)

Media, Entertainment & Intellectual Property:
The practice consists of 2 supervising partners, 1 senior associate and 7 associates, largely based in the Lagos office with team members in the Abuja and Asaba offices. The firm’s Media and Entertainment Practice are pioneers in the industry in Nigeria and represent clients in both contentious and non-contentious matters in Film, Music, Media (digital and print), Advertising, Gaming, Leisure and Hospitality industries. Its clients include foreign and local corporate entities, multinational Entertainment businesses, SMEs, record labels, management and production companies, theatrical exhibitors and distributors, A-list film and music artistes, high net worth individuals investing in media and entertainment and government/regulatory authorities in the Nigerian Media and Entertainment Industry. Some of our most recent engagements include;
• The firm was commissioned by the Agence Francaise Developpement (AFD) and the Nigerian Copyright Commission to carry out a diagnostic study of the governance of collective management of intellectual property protection, collection and payment of royalties in Nigeria. This study is still ongoing
• The firm acts as legal advisers to leading US based Nigerian owned Comic book company Youneek Studios INC. • We successfully brought back into market and act as the legal advisors to Universal Music Group in Nigeria
• The firm was the first to successfully scale through the first round of pioneer status tax exemption application for entertainment industry on behalf of major international entertainment company in Nigeria
• The firm is currently providing legal advice and drafting to Talent X Africa on the creation and execution of their film finance platform
• The firm successfully defended Ringier Media Limited (Nigerian Subsidiary of International Swiss media conglomerate) in a copyright infringement claim worth N65million (Sixty-Five Million Naira) at both the court of first instance and appeal
• The firm represents Raconteur productions in its copyright infringement action against the producers of the film Okafor’s Law. This matter is currently at the appellate court
• The firm provides Legal advisory services to Blue pictures limited a leading film and television distribution company in Nigeria (Local distributor for Disney)
• The firm is currently defending Genesis Cinemas (one of the top three theatrical exhibitors in Nigeria) at the Federal High court in a suit instituted against them by the Copyright society of Nigeria pertaining to payment of royalties for public performance of music contained in films exhibited at their cinemas
• The firm provides legal advisory services to Ledrop Nigeria limited exclusive distributors for Remy Cointreau in Nigeria
• The firm worked in collaboration with its property team to procure commercial lease worth over N150million for Nigerian subsidiary of Canal Olympia
• The firm worked with the tax team to resolve tax matters for its clients Universal Music Group and Genesis Cinemas Limited

Restructuring & Insolvency:
Profile on Insolvency Law Practice Group The practice group comprises 1 Supervising Partner, 3 Senior Associates and 10 Associates spanning the Lagos Head Office, Abuja and Delta Branches. Most recent transactions:
• Solicitors to the Judgment Debtor in restructuring a N26, 000, 000, 000 (Twenty-Six Billion Naira) judgment debt in favour a leading financial institution in the country
• Solicitors to the Defendant in a N13, 000, 000, 000 (Thirteen Billion Naira) receivership action at the Federal High Court Ikoyi Lagos
• Solicitors to the Defendant in an action instituted by Asset Management Corporation of Nigeria (AMCON) at the Federal High Court, Abuja on account of a facility agreement in the sum of US$150,000,000 (One Hundred Million United States Dollars)

Energy/Mining/ Oil & Gas:
2 Partners, 3 Senior Associates, spanning the Lagos Head office and Abuja.
• Represented a major player in the Nigerian Electricity Supply Industry (NESI) – a generation company (MESL) in a suit relating to validity or otherwise of contractual agreement entered between our client and a Transmission Company to supply electricity to an eligible customer pursuant to Eligible Customer Regulation made by the FGN. The Contractual arrangement between the firm's client and TCN to supply electricity directly to an eligible customer involves several billions of naira as the contract would run for several years. The eligible customer is a steel manufacturing company that utilise a lot of electricity for its operations.
• Also representing MESL in other similar action still pending in court
• Currently representing a major oil company in Nigeria (FODE) on a claim related to oil rig blow out with a claim of over N500, 000,000 (Five Hundred Million Naira). The firm was successful at the Court of Appeal. However, there is a pending appeal at the Supreme Court
• The firm carried out due diligence, generated and reviewed some transaction documents working with its partner firm in the UK Howard Kennedy and another Australian law firm pertaining to the acquisition of the interest of a distressed Australian mining company in a Nigerian mining company with mining assets in Nigeria by a Hong Kong based mining company and are also carrying out the post completion compliance on behalf of the new owners of the Nigerian company. Taxation:
Represented General Cotton Mills Limited (In Liquidation) before the Federal Inland Revenue Services (FIRS) in respect of an alleged outstanding tax liability of N248,000,000.00 (Two Hundred and Forty-Eight Million Naira). Advised Instadeep Limited on the tax implications of setting up an Employee Stock Option Plan for its employees in Nigeria and further prepared a tax efficient employee stock option scheme in compliance with the extant tax laws and regulations in Nigeria. Represented Genesis Cinemas successfully before the Eti Osa Local government regarding the legitimacy of the imposition of merriment tax on them
