Main Areas of Practice:

M&A & Privatisations:
Over the past two decades, MTA has been at the forefront of the acquisition of Colombian companies by foreign companies, strategic investors, and private equity funds. The firm has long been involved in most of Colombia’s privatisations in the financial, energy and telecommunications sectors. Given the complexity of these transactions, which frequently involve mergers and acquisitions with participation from the public and private sectors, the firm has approached them from administrative, corporate and regulatory perspectives.
Banking & Finance:
MTA has a recognised and consolidated practice in banking and finance. The firm has extensive experience advising clients in regulatory matters, structuring finance operations and financial products, including the structuring and restructuring of multiple jurisdictions’ debt operations and guarantee structures. Transactions are complex, multijurisdictional, and high value, with clients ranging from international and foreign banks to equity and investment funds to global corporations.
MTA advises clients on all aspects of project structuring, including the design and organisation of the various legal and corporate structures that each project requires. The firm has actively participated in the financial aspects of projects in the energy, aviation, communications, mining and oil and gas industries. Energy & Natural Resources:
MTA’s experience includes negotiations with the Colombian national government to obtain exploration and exploitation rights and association contracts, as well as the sale and/or assignment of mining titles or concessions. The department assists in the development, licensing, financing and construction of energy and infrastructure projects. The multiple facets of regulatory and legislative requirements in the oil, gas and mining sectors, as well as renewable energy, call for the expert handling and integrated approach that MTA offers. Importantly, the firm also recognises the importance of prior consultation with nearby communities, and the firm addresses the concerns of ethnic and minority groups while working towards its clients’ objectives.
Compliance & Antitrust:
The practice specialises in the handling of large and complex investigations of anticompetitive conducts and of economic concentrations. Likewise, MTA advises buyers and sellers in the most important integration operations in Colombia.
Administrative & Regulatory:
The privatisation of power plants and energy companies in Colombia in the mid-nineties was a catalyst for the firm’s practice, which has expanded to industrial and service sectors and has involved assistance with structuring bids, public procurement, administrative actions and administrative law sanctions. MTA also has significant experience in regulatory consulting for various industries, including energy, telecommunications and health sector regulation, natural protected areas enforcement and personal data protection.
MTA assists companies in achieving compliance with the country’s environmental and social obligations, including environmental licensing processes, and representing companies before Colombian environmental authorities. The firm is also very active in litigation regarding environmental matters such as class actions and toxic torts.
Litigation & Conflict Resolution:
