Counsels architects, engineers, contractors, developers, owners, insurers, and lenders on licensing, contractual, financial, business, and insurance matters. Consumer Financial Services Compliance:
On behalf of federally and state-chartered depository institutions, national auto finance companies, national mortgage lenders, manufactured housing lenders, educational finance providers, specialty finance companies, and commercial finance companies, provides transactional and regulatory advice concerning federal and state compliance, documentation, licensing, federal and state investigations and examinations, and related matters.

Consumer Financial Services Litigation:
Multidisciplinary team represents banks, finance companies, thrifts, mortgage servicers, credit unions, and credit card issuers in hundreds of class actions in state, federal, and bankruptcy courts, and in arbitration proceedings.

Corporate/M&A & Business Transactions:
Counsels on all aspects of corporate formation; capitalization and governance; mergers and acquisitions; purchases and sales of existing companies; divisions of books of business through stock or asset sales and purchases; joint venture documentation; vendor/customer and strategic contract drafting/negotiation; franchisor/franchisee relationships; labor and employment and executive compensation matters; noncompetition agreements; directors’ and officers’ responsibility/liability; and operating, shareholder, and key investor agreements, including shareholder rights and actions. Creditors’ Rights, Financial Restructuring & Bankruptcy:
Depth of experience in handling highly complex restructuring, insolvency, and creditors’ rights matters, representing manufacturers of heavy equipment and vehicles and their captive lending arms, commercial and consumer lenders, loan servicers, maritime financiers, and floorplan lenders.

Cybersecurity & Data Privacy:
Helps clients comply with regulatory obligations and prevent and respond to data breaches. Addresses the full spectrum of security concerns, including data breaches, cybersecurity, internet of things (IoT), and Federal Trade Commission response. Assists with mandatory documentation, notifications, breach response and remediation, litigation, and enforcement actions.

Intellectual Property:
On behalf of a wide variety of industries, including chemical, oil and gas, pharmaceutical, information technology, financial services, and mechanical equipment, secures and defends vital patent, copyright, trademark, and trade secret rights, and resolves complex IP issues and litigation. Has successfully handled hundreds of domestic and international patent, trademark, and copyright applications.

Labor & Employment:
Representing union and non-union companies, collaborates with HR teams to anticipate and resolve complex issues facing employers and in-house legal departments. With a business-focused approach, advises clients on claim and conflict prevention, regulatory compliance, and reducing risk in litigation and workplace investigations.

On behalf of global manufacturers, defends complex and technical products liability claims across the US in cases of national importance, and in class actions and mass torts.

Real Estate:
As national and regional counsel, represents sellers, buyers, and lenders in all aspects of commercial real estate, including acquisitions, financing, development, zoning, state and local tax incentives, and administrative and governmental procedures. Proprietary title insurance agency writes title policies in FL and LA.
