■ Advising long-standing client, SMBC Aviation Capital, on its agreement with Sumitomo Corporation, Apollo and Brookfield to acquire Air Lease Corporation.

■ Advised Alkermes Pharmaceuticals plc on its acquisition of Avadel Pharmaceuticals plc.

■ Advised the Equitix and Baltic Cable AB consortium on a landmark agreement to acquire the Greenlink interconnector.

■ Advised Alchelyst, a leading full-service fund administrator for alternative asset managers, in connection with its merger with Lyra Client Solutions.

■ Advised long-standing client AIB Group plc on its directed share buyback (€1.2bn), completed in May 2025, and resulting in the return of the bank to private ownership.

Our client base encompasses financial institutions, both regulated and unregulated, as well as non-financial corporate and State counterparties. We provide high quality legal advice, adopting a solution-focused approach, across the full range of financial services activities, from corporate lending and treasury, derivatives, asset management and insurance to aircraft and other big-ticket asset financing, project and infrastructure financing and capital markets transactions.

■ Advised AerCap Holdings N.V. on all of its activity in the unsecured bond market (total US$ 3.45 billion) in the last year.

■ Acted for Phoenix Aviation and AIP Capital in connection with a $592 million term loan facility

■ Assisted Ares Capital Management in connection with the $5.5 billion financing provided to Clearlake to acquire Dun & Bradstreet Holdings.

■ Acted for certain consenting secured creditors in relation to the approximately $6 billion debt and equity recapitalization of the Ardagh Glass Group.

■ Advised Barclays on a novel securitization programme for Ferovinum, a specialist provider of supply chain finance to the wines and spirits industry in Europe, the UK and US.

Disputes:

The group advises on many of the major complex cases before the Irish Courts in the financial, corporate and state sectors and is often the first port of call for major corporates who find themselves in a dispute or who require advice on a matter that may become contentious.

■ Advising SMBC Aviation Capital, the world’s second largest aircraft lessor, in its cUS$1.76bn claim against its insurers (16 different insurers across multiple jurisdictions) for 36 aircraft lost in Russia following the invasion of Ukraine, securing a landmark settlement.

■ Representing Bristol Myers Squibb in a number of related matters concerning its patent/ Supplementary Protection Certificate protecting apixaban, the active ingredient in the anti-coagulant product Eliquis, including in the defence of a Commercial Court patent / SPC revocation action brought by Teva Pharmaceuticals Ireland.

■ Advising tech unicorn Workhuman on all aspects of a complex shareholder dispute (media estimates value the claim at Stg£300m) before the Commercial Court involving FTSE-listed PE firm Intermediate Capital Group (ICG).

■ Advising Trinseo and its board of directors on all Irish aspects of its complex cross-border restructuring.

Real Estate & Construction:

Offering one of the largest real estate and construction offerings in the jurisdiction, the group is known for its integrated approach to complex transactions and projects. Covering the traditional acquisitions, disposals, lettings and finance deals, the Group also has huge experience on complex projects work, re-structuring, security and enforcement, tax-based deals and construction schemes, as well as construction disputes, for domestic and international companies.

■ Advising Merck / MSD on its acquisition of a vaccine manufacturing facility from WuXi,pharmaceutical manufacturing facility from Takeda, the acquisition lands with development potential.

■ Advising Hammerson plc (a UK-listed REIT) in relation to its joint ownership of the premium retail asset in the jurisdiction, Dundrum Town Centre, and on re- development in the Dundrum area.

■ Advising Blackstone, as a lender to Henderson Park, on the development of a number of industrial units in Dublin, with a value of c. €100 million

■ Advising Marlet on the letting of College Square (comprising c416,000 sq ft) to Workday, the largest single office letting in Europe and largest ever single office letting in the Irish market.

■ Advising the National Paediatric Hospital on the development of a new national children’s hospital at an estimated projected cost of over €2.2 billion.

■ Advising Irish Rail on DART+ (€3bn expansion of electrified rail surrounding Dublin).

■ Advising Pembroke Beach DAC (joint venture between Lioncor (backed by Oaktree and Alanis) and The Ronan Group) on the development of the 38 acre ‘Glass Bottle Site’ - a new Dublin suburb to include 3,800 homes and over 90,000 sq.m. of commercial space, with a total development value estimated in excess of €1 billion.

International Work

■ Advised CalypsoAI, an Irish-led, US-headquartered start up specialising in AI security and systems testing, in its sale to F5, a Seattle-based tech-security firm.

■ Represented JTC, the global professional services provider, on all Irish law aspects of the successful completion of its US private placement.

■ Advised Bankinter S.A. on the establishment of a branch in Ireland and the cross-border merger of Avantcard DAC t/a Avant Money into the Irish Branch.

■ Represented a consortium of private equity investors in successfully resolving a complex cross border commercial dispute arising out of alleged breaches of the investor’s contractual rights through a conspiracy. The plaintiffs’ rights arose on foot of profit participating notes through a complex corporate structure in an underlying portfolio of premium assets in London.

■ Acting for Pure Data Centre, an established developer and operator of hyperscale-ready date centres across EMEA, on Irish aspects of a transaction supporting the development of a €1 billion 78MW hyperscale campus in Amsterdam, and the continued build-out of a 54MW multi-building hyperscale campus in Dublin.
