Main Areas of Practice:

Banking & Finance:

ROCA advises financial institutions on a full range of legal issues. Its attorneys have represented Dominican companies in the structuring of loans with international entities, with the consolidation of local guarantees and regularly perform due diligence and regularisation of guarantees for projects and financial transactions. The firm advised foreign investors interested in venturing into Dominican banking around regulatory issues in the sector, as well as in various financing transactions. ROCA was a pioneer in creating the legal and contractual framework for the first electronic market in private offerings in the Dominican Republic, as well as the legal and corporate structure for the first company dedicated to factoring for medical bills.

Capital Market & Securities Regulation:
The firm’s experience in capital markets and securities regulation includes assistance to investors and issuers in different types of operations, as well as legal advice to investment funds, agreements associated with them, advice on securities issues, listed companies, financial regulation, among others. Corporate:

Its extensive experience in M&A includes one of the largest deals performed to date in the DR, as the team represented a group of buyers in the acquisition of a telecommunications company after a successful restructuring under Chapter 11 in NY and overcoming an opposition by the Central Bank of the DR. After completion of the acquisition, a unique and historic case for the country, the firm was further retained for the corporate consolidation process, litigation and tax issues, division of subsidiaries and assets and the merger of other companies including a major Dominican cable company. It is one of the largest legal and economic movements made in Dominican territory to date.

Real Estate:
The firm advises its clients on a variety of transactions related to real estate. Its work encompasses the entire process from the due diligence to the drafting of the agreements, as well as the design and implementation of the legal structure that best fits each case. ROCA has represented important investors and investment funds in the acquisition of companies, whose value depends on the regularisation of their real estate assets for projects related to urban development and tourism projects.
