Banking and finance / Restructuring: We have wide-ranging banking and finance expertise, across debt restructurings, structured trade and commodity finance, leveraged acquisition finance, real estate finance and margin lending. Our coverage spans the spectrum of debt products, including a number of hybrid finance options such as bank/bond structures, Islamic structures, high yield, margin loans and bridge facilities. The team is well known for its pioneering role for ESG and sustainable finance in Turkey, with no other firm having comparable credentials.

M&A: We regularly advise on mergers and acquisitions (public and private company M&A, joint ventures, private equity investments and public takeovers), shareholder disputes, and commercial agreements. Our experience in advising on multi-jurisdictional transactions in Turkey enables us to anticipate issues and risks, ensuring that we provide our clients with tailored legal advice. Our insights and market knowledge enable us to help our clients save both time and money on transactions.

Project and infrastructure finance: We advise sponsors, governments, construction companies and lenders on projects and project financings (including Islamic and conventional financings) across multiple sectors including oil and gas, power, renewables, infrastructure and telecoms. A&O Istanbul has recently closed the the financing of a landmark railway project in Turkey.

Capital markets: Having been involved in nearly every major deal in the market over the last decade, Allen & Overy and Gedik & Eraksoy have a very strong track record and expertise in capital markets. Our expertise covers the full range of DCM products, including standalone bonds, debt programmes and project bonds, securitised products, subordinated debt and hybrid capital, Islamic structures, equity linked instruments, private placements and warrants, as well as handling ECM work (IPOs and listing on local and international stock exchanges, capital raisings, and listed company work) and derivative products.

Competition / Antitrust: The team has extensive experience advising on (mostly complex) merger clearances before the merger control authorities in Turkey and the Middle East, as well as abuse of dominance and cartel investigations, and market investigations.
