Main Areas Of Practice:

Banking & Finance:

As part of its banking and finance practice, the firm provides transactional, regulatory and compliance advise to some of the main financial institutions of Mexico. These clients include banks, broker dealers, investment funds, insurance companies, non-banking financial institutions (both regulated and unregulated), as well as to commercial and international clients. Gaxiola Calvo has been an active player in the public debt areas acting as counsel to both the public and private sector. The firm also participates, on behalf of its clients, in the analysis and negotiations of constitutional, legal and regulatory reforms on constitutional, commercial and financial matters, including the enacted FinTech law and its secondary regulations.

Financial Services Regulation:
The firm has advised Mexico’s main banks in relevant FinTech projects regarding digital banking, online payments solutions, regulatory sandbox, and APIS.

The firm has participated in some of the most relevant bankruptcy and restructuring processes in Mexico regarding the commercial and public sector. Among others, Gaxiola Calvo acted as counsel for Mexican banks during the Comercial Mexicana and housing companies bankruptcy procedures and in several public debt restructures, including Coahuila, Michoacán, and recently one of the most relevant refinancing in México, the Estado de México.

The firm has acted as counsel in public procurement and infrastructure projects, including highways, hospitals, real estate developments and urban image at the federal, local and municipal levels Gaxiola Calvo has also acted as legal counsel for the granting of federal, state concessions and or municipal, public-private partnerships, related contracts and/or participation in the instrumentation of financing related to, among other, the following projects: highway conservation packages tendered by SCT; design, construction and operation of IMSS and ISSSTE hospitals; massive paving programs and electronic toll services; and water and wind power plants.

Data Protection:
The firm also provides legal advice on data protection under the scope of Mexican regulation to public and private entities, including Banks. This area of expertise gives members the opportunity to support financial entities in the issuance and/or analysis of certain privacy notes and the execution of agreements for the provision of services related with databases and information systems.

Mergers & Acquisitions:
The firm has acted as counsel in several acquisitions of financial and commercial entities, including the acquisition of OpenPay SAPI de C.V, that offers a broad range of entities specialised in online payments solutions and functionalities; and for the purchase of Televera Red, S.A.P.I. de C.V. and Grupo W Com, to provide satellite services.
