• Advising the founders of Bykea Pakistan (Pvt) Limited, the operating company that owns a ride hailing application in Pakistan, in connection with a venture capital round of investment by certain overseas investors.
• Advising ECU Group, a logistics company based in Belgium, in connection with their proposed joint venture and/or potential acquisition of their franchisee in Pakistan
• Acting as local legal counsel to JCM Power Corporation (Canada), Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO) (Netherlands) and Investeringsfonden for Udviklingslande (IFU) (Denmark) in their joint acquisition of a majority stake in Jhimpir Power (Pvt) Limited (the project company which has established a 50MW wind power plant in Jhimpir, District Thatta, Province of Sindh, Pakistan) from Abraaj Capital and Burj Capital.
• Advised Pakistan Cricket Board on finalization of sponsorship rights and media rights agreements.
• Advising Wateen Telecom Limited for acquisition of its majority shares by Elko Broadband.
• Undertook extensive review of Public Procurement Rules for all provinces in Pakistan and advised Novo Nordisk Pakistan on provisions pertaining to black-listing on account of non-supply of goods.
• Advise and represent Acumen Fund in relation to (i) divestment of its shareholding in an energy company in Pakistan; and (ii) the mechanism and legal structure for investing seed capital in start-up companies in Pakistan.
• Advising Worldcall Services Limited for acquiring majority shares of Worldcall Telecom Limited owned by Omantel Telecommunications Company (Omantel).

Dispute Resolution

• Counsel for a government owned LNG company in arbitration proceedings before the London Court of International Arbitration (LCIA) in relation to the termination of an Operator and Services Agreement and a claim for damages amounting to over USD 100 million.
• Engaged by National Real Estate Company (NREC) to defend it in civil proceedings instituted by Educational Excellence Limited (EEL) before Civil Judge, Lahore. Proceedings pertain to specific performance of an alleged MoU for purchase of NREC’s 100% shares in Kuwait National Real Estate Company by EEL against sale consideration of more than 2.45 billion. Currently, we are appearing before the Supreme Court of Pakistan in relation to maintainability of suit for specific performance without deposit of sale consideration in Court by the Plaintiff.
• Lead Counsel for Taisei Corporation, a leading Japanese construction company, in relation to a highway construction and improvement project in Pakistan. Successfully defended claims of approximately USD 9.3 million against Taisei Corporation by an engineering sub-contractor in an ICC arbitration in Singapore and procured an Arbitration Award of approximately USD 1.5 million in favour of Taisei Corporation. Currently, we appear for Taisei Corporation in the Supreme Court of Pakistan in relation to enforcement of the said Award.
• Represented Sui Northern Gas Pipelines Limited (SNGPL) in dispute resolution (expert) proceedings against Government Owned Power Plants (i.e. National Power Parks Management Company and Quaid-e-Azam Thermal Power Limited) in take or pay disputes related to Gas Supply Agreements.
• Successfully represented SNGPL in recognition proceedings of foreign arbitration award (award amount approx. PKR 800 Million) before the Lahore High Court. • Acted for the Brittania Group of India, in relation to their investments in Pakistan. In particular, we are acting for them in the long standing shareholding dispute against the Pakistani Company, English Biscuit Manufacturers (Private) Limited. In January, we obtained a favourable decision from the Supreme Court of Pakistan in favour of Brittania Group of India, with Zahid F. Ebrahim appearing before the bench led by the Chief Justice of Pakistan.
• Engaged by Arabtec Pakistan (Pvt.) Limited for the Execution of an Arbitration Award amounting to a sum over USD 17 Million against Enshaa NLC Developments (Pvt.) Limited. The Firm managed to obtain a restraining injunction against Enshaa NLC Developments (Pvt.) Limited from the High Court of Sindh, restraining it from transferring, alienating or disposing off its assets in order to avoid the Arbitration Award made against it.
• Lead Counsel for Emirates Airline and its ground handling agents in relation to over 200 claims filed by insurance companies arising out of losses suffered due to the terrorist attack on Karachi International Airport in 2014 before the High Court and District Courts. In a case of first impression, the litigation examines the interpretation of “armed conflict” under the Montreal Convention 1999 for the first time;
• Counsel for Pakistan Cricket Board against Board of Cricket Control in India before Dispute Resolution body appointed by the International Cricket Council.
• The firm continues to be engaged as lead counsel for all aviation and passenger liability claims for Qatar Airways, Emirates Airlines, and Oman Air throughout Pakistan and represents the airlines in the Consumer Courts, Insurance Tribunals and District Courts and High Courts throughout the country.

• Advised South Punjab Forest Company in designing the Public Private Partnership project for commercial afforestation in South Punjab
• Drafted Agreement between Tourism Promotion Services and Metropolitan Corporation Islamabad for maintenance and development of a public park on Suharwardy Road Islamabad as part of its Corporate Social Responsibility Initiative.
• Advised one of the largest importers of coal in Pakistan in relation to a petition filed in the High Court of Sindh, challenging the import of coal through the Karachi Port, which allegedly causes a negative impact on the environment and the surrounding residential areas of the Karachi Port.

• Advised Chubb Insurance Pakistan Limited in relation to Bancassurance Agency Agreement for distribution of its insurance products via Mobilink Microfinance Bank (MMBL) Ltd to all users of Jazz Mobile Network who have a JazzCash Account with MMBL. Undertook extensive review of the Bancassurance Regulations, 2015 and advised client in relation to regulatory compliance of its agreements with MMBL and related parties.
• Advise Zurich Insurance on its life insurance and non-life insurance surveys which evaluate the permissibility of operations of foreign insurer in Pakistan
• Advised Chubb Insurance Pakistan Limited in relation to ‘insurable interest’ for accident insurance policies issued in favour of Uber Netherlands for drivers and passengers using Uber services in Pakistan.
• Advised leading ride-hailing app company, Careem on the mechanism, rights and obligations of facilitating an insurance company providing coverage to Careem’s drivers through technology based distribution channels.

• Advised Tourism Promotion Services Pakistan, owners and operators of Serena Hotels, in relation to its obligations under the NEPRA (Supply of Electric Power) Regulations, 2015 for the Business Complex in Serena Hotel, Islamabad. Reviewed and advised client in relation to its Operations and Maintenance Agreement with IESCO for supply of electricity to occupants of the Serena Islamabad Business Complex.
• Represented Gharo Solar Limited in setting up a 50 MWp solar power project in Gharo, District Thatta, Sindh, Pakistan in split/self EPC mode. This project was Pakistan’s first power project to be constructed in split/self EPC mode which involved drafting and negotiating new documentation and setting new precedents for the market.
• Acting as borrower/company legal counsel on behalf of FAS Energy Pakistan (SMC-Private) Limited in connection with their 50 MWp Solar Power Plant in Kulachi, D.I. Khan, Khyber Pukhtunkhwa Province, Pakistan.
• Advised Kohinoor Energy Limited on the mechanism of scheduled outages under the Power Purchase Agreement. In this regard we drafted a manual for calculation of schedule of outages under the PPA to be agreed with Central Power Purchasing Agency Limited.

Real Estate and Construction

• Engaged by Hashmani Group to advise on acquisition of an amenity plot owned by a charitable trust and construction of a 27-storey state-of-the-art tertiary care hospital building thereon.
• Undertook review of title documents and advised Habib Bank in relation to its purchase of two floors in a state-of-the-art building in Karachi for a total sale consideration of Rs. 721,375,000/-. Also drafted sale and transfer documentation in favour of Habib Bank Limited.
• Engaged by a leading hotelier group to draft documentation for conversion of state-owned guest houses into commercial 5 star hotel.
• Galiyat Development Authority engaged our firm to prepare due diligence and concession agreements for development of two hotel sites in Galiyat in Public Private Partnership Mode.

• Engaged by GroupM Pakistan (Pvt.) Limited in relation to a disputed recovery of an alleged tax liability pertaining to an adjustment of input-tax. The firm managed to obtain a restraining injunction against the Sindh Revenue Board restraining it from coercively recovering the alleged tax liability amounting to about PKR 50 Million of GroupM Pakistan (Pvt.) Limited.
• Advised Schneider Electric Pakistan Limited in relation to levy of additional minimum value-added sales tax under Rule 58B of the Sales Tax Special Procedure Rules, 2007.
• Advised Schneider Electric Pakistan Limited in relation to exemption from payment of customs duty under SRO 678(I)/2004 dated 7.8.2004 pursuant to the Customs Act, 1969.
• Engaged by the National Insurance Company Limited, a corporate entity managed by the Government of Pakistan in relation to its disputed assessment of property tax imposed and levied by the Karachi Cantonment Board on one of its multi-purpose buildings.
• Represented the National Insurance Company Limited, a corporate entity managed by the Government of Pakistan in litigation to restrain the recovery of unlawful tax demands by the Sindh Revenue Board pending tax assessments by the tax authorities.
• Advised Port Qasim Authority on whether an authority established and managed by the Federal Government is liable to tax under the Sindh Sales Tax on Services Act, 2011 in view of the Federal Legislative Lists appended in the Constitution of the Islamic Republic of Pakistan.
