Corporate & Transactional:
The business services department serves clients in a variety of industries, from domestic start-up companies to multinational corporations located throughout the United States and abroad. Its attorneys are experienced in business planning, negotiating and drafting contracts, preparing public filings, advising clients on intellectual property issues, and working with federal and state regulators. Attorneys counsel companies in the structuring, negotiating and documentation of mergers, acquisitions, joint ventures, financing and other business transactions.

Estate Planning:
The estate planning department’s attorneys provide integrated services in estate planning, estate and trust administration, fiduciary representation, tax return preparation, disability planning, family and charitable gifting arrangements, marital agreements, guardian-ships and adoptions, limited partnerships, business succession planning, drafting and representing qualified and nonqualified employee benefit plans, and the representation of healthcare providers and health insurers.

Economic Development (Includes Real Estate & Environmental & Natural Resources):
Attorneys in the economic development department have extensive experience in site selection, land and equipment acquisition, construction and design contracts, environmental permitting, licensing, and the creation of business processes and procedures. The real estate, environmental, and natural resources practice group members are experienced in advising businesses, utilities and governments on complex air, water, oil and gas, and waste permitting and compliance issues, enforcement defense, criminal defense, regulatory and legislative policy development, remediation and environmental due diligence. The group is well known for its representation of the energy industry, including coal mining, environmental, mineral law and transaction matters. The group also assists oil and gas operators with drilling title opinions, division order title opinions, drafting and negotiating contracts, agreements and assignments, and more.

Labor & Employment:
The firm’s labor and employment practice group attorneys defend employers against all employee claims, including discrimination, harassment, retaliation, wrongful termination, ERISA and employee benefits, wage and hour, OSHA, immigration status, employment contract disputes, and covenants not to compete. The group’s attorneys also advise employers in union-management relations, responding to union organizing campaigns, collective bargaining, grievance arbitration, severance packages and employment contract negotiations.

The litigation department is experienced in all aspects of trial and appellate work in federal and state courts and has substantial experience in alternative dispute resolution matters. The team has extensive experience in corporate governance disputes, intellectual property disputes, securities litigation, white-collar criminal defense, appeals, ediscovery, litigation-avoidance techniques, utility and other regulatory disputes, construction and real estate litigation, business torts, product liability defense, class actions, environmental and toxic tort defense, and First Amendment issues. The firm’s attorneys also assist beneficiaries, executors, fiduciaries, guardians and trustees in the resolution of a multitude of estate, fiduciary and trust disputes that often involve complex and advanced legal and tax issues.

Tax & Employee Benefits:
The firm’s tax and employee benefits department provide clients with transactional tax work, advocacy, and reparation work. Full service tax counseling, including nonprofit and tax exempt law, is a mainstay of the firm’s practice. The firm’s tax attorneys serve on IRS and American Bar Association tax advisory groups, have advanced law degrees in taxation, and publish books, chapters and articles on tax topics.
