Mergers & Acquisitions:

Aabø-Evensen & Co specialises in mergers and acquisitions (M&A) work. It represents a significant proportion of the firm’s activity, covering the full range of M&A work, frequently with a cross-border and multi-jurisdictional perspective. The firm has a broad network of law firms which enables it to quickly establish a competent cross-border team. It has been a part of many of Norway’s most significant transactions in recent years. Practice includes assisting clients in the acquisition of both listed and private companies, advising on issues related to structuring transactions, planning and conducting due diligence, structuring the financing and evaluating competition issues. The team is known for a highly commercial approach and extensive marked knowledge.

ECM, IPO, Public M&A:
Aabø-Evensen & Co’s practice advises on issues related to both debt and equity capital markets, including securities and securities offerings. The firm’s capital markets and public M&A lawyers have extensive experience within domestic and cross border capital markets transactions and covers equity, debt, regulatory capital and equity-linked (convertible and exchangeable) bond issues, structured finance transactions and the full range of derivative and securitised products.

■ Legal advisor to Oslo Stock Exchange listed The Scottish Salmon Company (SSC) in relation to a strategic process that was initiated by the company’s board in 2019. SSC’s Market Cap is currently trading at NOK 5,040.38 million
■ Legal advisor to the sellers in connection with Triton’s acquisition of Norstat Group, a full-service, independent pan-European leader in high-quality data collection solutions for consumer research
■ Legal advisor to SAR Gruppen AS and Stirling Square Capital Partners in connection with the recapitalization of SAR Gruppen including in the sale of parts of its business
■ Legal advisor to Clemens Kraftverk AS, a subsidiary of Clemens Kraft, one of Norway´s largest owners/developers of small scale hydro power plants acquired Fjærland Kraft AS who recently has finalised its building of 6 small scale hydro power plants in Fjærlandsfjorden in Sogn (Western part of Norway)
■ Legal advisor to former Oslo Stock Exchange listed LINK Mobility Group ASA (LINK) since 2016. During the period up until now, the firm have advised LINK in connection with 19 pan-European acquisitions as part of its European expansion, raising of NOK 120 million in new equity and EUR 80 million in bonds in the Norwegian and international capital markets. Most recently the firm advised LINK on the NOK 3.4 billion takeover by US PE fund Abry Partners and their acquisitions of French Netsize SA and the South-Eastern European company Teracomm Group.
■ Legal advisor to Oslo Stock Exchange listed Cxense ASA (OSE:CXENSE) in connection with the NOK 351 million recommended voluntary cash offer by US based Piano Software. Software, Inc.
