Mergers & Acquisitions:

Aabø-Evensen & Co specialises in mergers and acquisitions (M&A) work. It represents a significant proportion of the firm’s activity, covering the full range of M&A work, frequently with a cross-border and multi-jurisdictional perspective. The firm has a good network of law firms which enables it to quickly establish a competent cross-border team. It has been a part of many of Norway’s most significant transactions over recent years. Practice includes assisting clients in the acquisition of both listed and private companies, advising on issues related to structuring transactions, planning and conducting due diligence, structuring the financing and evaluating competition issues. The team is known for a highly commercial approach and an extensive marked knowledge.

ECM, IPO, Public M&A:
Aabø-Evensen & Co’s practice advises on issues related to both debt and equity capital markets, including securities and securities offerings. The firm’s capital markets and public M&A lawyers have extensive experience within domestic and cross border capital markets transactions and covers equity, debt, regulatory capital and equity-linked (convertible and exchangeable) bond issues, structured finance transactions and the full range of derivative and securitised products.

Recent Work Highlights:
■ Legal advisor to Oslo Stock Exchange listed LINK Mobility Group ASA since 2016. Until recently the firm has advised Link Mobility in connection with 17 pan-European acquisitions as part of its European expansion, raising NOK 120 million in new equity and EUR €80 million in bonds in Norwegian and international capital markets and the transfer of its listing from Oslo Axess to the Oslo Stock Exchange. This was in addition to advising on general corporate and securities law matters. During the same period, Link’s revenue has increased from approximately NOK 390 million in 2015 to NOK 1,800 million in 2017 and an increase in market capitalisation from NOK 200 million in 2015 to approximately NOK 2,500 million as of June 2018. Currently, the firm is acting as Link’s legal advisor in connection with the NOK 3.4 billion recommended voluntary cash offer to acquire all shares in LINK Mobility Group ASA by US PE fund ABRY Partners
■ Legal advisor to Malorama Holding AS and its shareholders in connection with a partial exit to a group of investors, in a transaction valuing Malorama Holding at an enterprise value of around NOK 800 million
■ Legal advisor to SAR Gruppen AS and Stirling Square Capital Partners in connection with the recapitalisation of SAR Gruppen including in the sale of parts of its business
■ Legal advisor to Holta Invest AS, in connection with its acquisition of J.M Alsén Design AB (owner of amongst other the clothing trademark ‘Morris’) from Harvey Int. Aktiebolag and its acquisition of MPT Sweden AB (manufacturer within the international metal powder industry)
■ Legal advisor to Oslo Stock Exchange listed NRC Group ASA since 2014. Until recently the firm has advised NRC Group in connection with 12 Norwegian and cross-border transactions as part of its Scandinavian expansion, raising of NOK 410 million in new equity in the Norwegian and international capital markets and its listing on the Oslo Stock Exchange through its reverse take-over of Blom ASA in 2015. This was in addition to advising on general corporate and securities law matters. Most recently, the firm has advised NRC Group on its NOK 103 million acquisition of Norsk Saneringsservice AS, as well as Miljøvakta AS’ NOK 61.5 million acquisition of Fibertech AS and the NOK 200 million acquisition of ALTi Bygg og Anlegg AS.
