Our Corporate team advises on the full corporate lifecycle: incorporations, capital increases and reductions, restructurings, amendments to by-laws, mergers and acquisitions, due diligence, dissolutions, commercial contracts, franchising and corporate financing, alongside corporate governance and compliance.
The department is led by partners Mariana Pereira and Ana Carola Muñoz. We act for multinational corporations entering Bolivia, investment funds and the country's largest family-owned business groups, across agribusiness, energy, banking, technology and consumer sectors.
Recent highlights include the sale of an agricultural division executed through three parallel corporate spin-offs, a structure that remains rare in Bolivia and carries limited administrative precedent; the transformation of a sole proprietorship into a corporation, equally uncommon under Bolivian law; market entry for multinational groups from Europe and Latin America; and compliance programmes aligned with international shareholder standards.
We specialise in pre-transaction reorganisations, asset segregation and governance redesign. Through Ncourage, our private wealth practice fully integrated with Corporate and M&A, clients align operating businesses, ownership structures and cross-border assets under a single framework, an approach that remains uncommon in Bolivia. We are often engaged from the outset, designing structures where clear precedent is limited.
