About

Provided by Harter Secrest & Emery LLP

Our corporate attorneys provide companies with comprehensive counseling and assistance on a broad range of business and regulatory issues. We regularly represent public and private companies with entity formation, commercial agreements, acquisitions, divestitures, joint ventures, strategic alliances, corporate finance transactions, private equity and venture capital investments, and other transactions.

We work with accountants, bankers, underwriters, lenders, other third-party advisors, and funding sources. When appropriate we bring in talent from other firm practice areas such as employee benefits and executive compensation, intellectual property, labor and employment, litigation, immigration, securities, private equity and venture capital, and tax, to ensure a deal gets done right.

We frequently coordinate non-U.S. aspects of transactions with counsel in foreign jurisdictions, including, in recent years, counsel in Asia, Australia, Latin and South America, and the European Union. Similarly, we act as special U.S. counsel to companies and law firms in foreign jurisdictions in connection with U.S. aspects of transactions.

We have a unique combination of expertise and rate structure that makes us a strong value proposition for clients engaging in corporate transactions, whether in New York State or across the United States, and a track record of successfully executing a variety of corporate transactions.
