Career
Jean Marcel Arakawa is a partner of Mattos Filho, focused on the legal assistance to Brazilian and international corporations, financial institutions, and institutional investors in a wide array of capital markets, financial and corporate transactions.
For the last 25 years, Jean has advised companies in various industries and their stakeholders on the legal aspects of accessing capital markets in Brazil, in obtaining registrations with the Brazilian Securities Commission (CVM) and listing of securities with B3 and other organized markets, structuring and carrying out public offerings and private placements of shares, debt, and hybrid securities, and listing securities in organized markets. Jean routinely assists issuers and shareholders in connection with market exits through tender offers or corporate reorganizations involving listed, publicly held companies. Jean acted in over a hundred public offerings of securities in the last 20 years, among them three out of the five largest public equity offerings of Brazilian issuers of all times.
Jean applies his extensive experience to advise listed issuers, underwriters, and institutional investors to comply legal, regulatory, and self-regulatory duties as participants in securities organized markets. He also advises such market participants in structuring and conducting investment rounds, divestments, reorganizations, and other corporate transactions involving listed companies or companies seeking to go public. Jean also advises issuers and financial sponsors in private equity and venture capital investments and divestments, in particular issuers with a view to list shares in organized markets to conduct public exits. He also represents capital markets players in administrative proceedings before the CVM.
Jean has an LL.B. from Faculdade de Direito da Universidade de São Paulo, and an LL.M. from New York University School of Law. Jean worked as an international associate with the Latin American practice group of Cleary Gottlieb in New York from 2005 to 2006 and is currently a member of the Regulatory Committee of the Brazilian Association of Venture Capital and Private Equity (ABVCAP).
