Main Areas of Practice:
Commercial Finance:

MMM supports a broad commercial finance practice (including non-traditional credit areas) representing many of the largest banks, investment funds and other financial institutions in the US.

With 40 years of service to businesses throughout the US and abroad, the corporate practice has developed operations and best practices to efficiently and comprehensively provide counsel for virtually every corporate need. In just over five years, MMM has handled nearly 200 transactions with a combined market value of over $10 billion and an average deal size of over $50 million.

Creditors’ Rights & Bankruptcy:
MMM represents clients in loan workouts, corporate restructurings and Chapter 11 proceedings. The firm’s goals include addressing the legal issues related to the clients’ financial problems to guide company management toward realistic goals and solutions, including voluntary wind-downs and liquidations that aim to avoid bankruptcy filings.

The practice is well known for resolving executive employment issues, including compensation, contracts, separation, and disputes. The team is at the forefront of Georgia’s new laws governing Restrictive Covenants issues and serve as coordinating counsel for disputes and agreements throughout the US.

MMM’s environmental practice addresses and solves environmental issues associated with every type of property. The team is known for developing mechanisms through which impacted properties can be purchased, financed, redeveloped and sold in an increasingly challenging market. This includes addressing environmental issues associated with distressed assets and, frequently, port and infrastructure developments.

REITs, Funds & Alternative Investments:
The practice currently works with more than a dozen sponsors, for whom they represent multiple entities, including REITs. In the last five years, the team has advised on more than $20 billion in publicly registered best-efforts offerings and represented REITs in public mergers and acquisitions valued at approximately $5 billion.

Government Contracts:
MMM’s team assists clients with every stage of the government procurement process, beginning with an analysis of the risks associated with entering the market and continuing through the issues arising during the solicitation, award, performance, and completion of government contracts. Transactions in this market are affected by a mix of federal rules and regulations. The firm helps clients understand, respond to, and, if necessary, litigate issues and disputes arising in government contracts formation and administration.

MMM’s healthcare lawyers practice exclusively in this area and, consequently, have the in-depth experience needed to help clients properly structure their business relationships and transactions and comply with laws and regulations.

Insurance & Reinsurance:
The firm’s insurance practice manages complex legal issues in the insurance arena, from mergers to alternative risk financing. It regularly advises clients on staying in compliance with regulations, entering new markets, navigating securitization laws or creating effective online insurance ventures.

Intellectual Property:
MMM’s IP lawyers counsel companies and organizations in all phases of invention and product development. The team works with clients across the globe ranging in size from emerging companies to Fortune 500 companies.

International Trade:
The practice represents clients on a broad range of issues which arise under US law and international trade agreements and have been involved in every high profile trade case over the last several years. The team represents companies from all over the world.

The firm’s litigators handle everything from recurring matters, such as employment claims and breach of contract cases, to class actions in such diverse areas as consumer, financial and toxic tort cases. Wins include an $8 million victory for a mechanical and manufacturing client, a successful defense of an attempted certification of a 40-state national class action alleging consumer fraud for a Fortune 500 retailer, and dismissals of consumer insurance class action in multiple states.

Real Estate:
MMM attorneys handle transactions throughout the US and the world encompassing every aspect of real estate development and finance including acquisitions, financing, construction, leasing, and dispositions. The team has served as counsel for approximately $60 billion in transactions, financings, joint ventures, and public offerings.

MMM’s tax practice has significant depth and covers all aspects of tax, with particular strength in business tax issues and planning for technology and other emerging and growth businesses, real estate tax, tax issues associated with REITs, and executive compensation matters.

For more than two decades, MMM’s technology practice has represented technology companies through every growth stage. The team expertly handles venture capital financings, public offerings, mergers and acquisitions and joint ventures for technology clients, and also advises on areas including technology licensing, employment issues and taxation needs.
