LMBB represents developers in negotiating the site acquisition, ground leasing, master leases, reciprocal easement agreements, and restrictive use covenants to ensure that the medical office building complements the existing hospital campus.
LMBB’s expertise in the unique regulatory requirements of healthcare providers' leasing and contractual arrangements allows us to effectively negotiate leases and subleases with physicians groups. Sale/Leaseback:
LMBB attorneys represent clients in negotiating and designing various structured finance transactions including “sales/leasebacks.” These transactions involve the negotiation of the purchase and sale of the property and the negotiation of the triple-net lease, the cornerstone to financing the transaction.
As part of this service, LMBB negotiates and prepares documents in connection with the financing of these transactions. LMBB also represents clients in the sale of assets acquired under sale/leaseback transactions in order to facilitate “1031 transactions” with buyers interested in a “like kind” exchange of assets.
Sales and Disposition:
LMBB negotiates and prepares all documentation in connection with the sale or disposition of real estate and other assets including contracts of sale and conveyancing instruments. LMBB attorneys review title and survey issues and work with title companies and surveyors to reduce encumbrances and exceptions to title policies. LMBB also negotiates financing terms and loan documents for buyers purchasing real estate.
