The firm was founded in 2011 serving domestic and international clients in the areas of real estate, environment and corporate/M&A, fields in which it is already recognised. It has ever since expanded its areas of practice into energy and natural resources, life sciences and biotechnology, projects and dispute resolution. More recently it also added banking and finance, labour and employment, as well as intellectual property capabilities.

Main Areas of Practice:

Real Estate:

The firm has strong experience representing developers, construction and infrastructure companies and funds in all sorts of transactions and in every area of the real estate business in Mexico: industrial, commercial (including offices, retail and tourismhotel deals/hospitality), infrastructure and residential. The firm’s expertise also comprises secured financing and private equity deals with real property components, disposition of distressed assets and a variety of regulatory issues (i.e. water, agrarian and land use). Clients include the largest international shared workspace company, international retail brands, international hospitality and vacation clubs, Mexican restaurant chains, a Mexican state-owned bank, an Indian multinational banking services company, real estate brokerage and consultation firms, as well as funds, constructors and developers, both domestic and international.

Environment:

Already acknowledged for its environmental practice, the firm offers sound, effective and creative solutions to its clients in preventive and corrective matters related with procedures, litigation, consulting and transactional environmental law. The firm represents and advises a vast array of domestic and foreign clients on a wide range of matters, special projects and transactions, primarily arising from their need to comply with requirements and permitting associated with applicable environmental laws, regulations and standards. Main clients in this area include pharmaceutical, life sciences, chemical, food and personal care multinational companies, as well as industrial, hospitality and real estate developers and constructors.

Corporate/M&A:

The firm advises international clients establishing businesses in Mexico, comprising all sorts of contracts and commercial transactions. The firm has participated in a number of M&A operations, joint ventures and spinoffs involving both domestic and international parties and has additionally dealt with corporate governance, real estate and regulatory matters, such as data protection, anti-bribery and money laundering issues, amongst others.

Dispute Resolution:

The firm has ample experience in litigation, with a clear business focus, representing foreign investors in government procurement matters, bankruptcy procedures and reorganizations. Notable cases include validation of easement contracts and judicial easements for pipelines as well as highly technical aspects of law and engineering that have led to successful resolutions in favor of investors dealing with force majeure and act of god issues in government procurement matters as well as in due completion of real estate projects. Clients include high net worth individuals, real estate groups as well international infrastructure and energy firms.

Life Sciences:

The firm advises international pharmaceutical, biotechnology, chemical, agrochemical, tobacco, food and personal care companies, as well as manufacturers of medical equipment on general compliance of health/regulatory obligations in matters, special projects and transactions, including data protection, compliance and confidentiality issues. The firm is also pioneering on legal aspects of biotechnology, genomics, assisted reproduction and other bioethics related issues, including organ transplantation in Mexico.

Projects:

The firm’s members have provided assistance to clients in the formation of consortia for participating in national and international public bids with several governmental entities, at federal and local levels, under NAFTA and other international agreements, including public bids for the development of the most important infrastructure projects in recent years in Mexico, such as oil, gas, electricity, railways, water, highways and PPAS.

Financing & Capital Markets:

The firm advises national and foreign clients with investment projects and needs, including obtainment of investment sources from capital markets and secured finance transactions from different industries and scopes, including secured credit transactions through different types of instruments. The firm advises clients in debt renegotiation and financial restructuring processes, as well as public listings and debt issuance. The firm additionally advises public companies on compliance and reporting obligations to satisfy the requirements of the Stock Market Law and the National Banking and Stock Commission, as well as private companies aspiring to become public. Finally, the firm is entering the novel field of Fintech in Mexico.

Labour & Employment:

The main objective of the firm’s labour and employment team is to provide added value to its clients, optimising their human resources, providing innovative solutions to their labour and employment problems, focusing its efforts in prevention strategies and a proper legal and HR planning, deriving in stable employment relationships and a lower rate of litigation and conflicts. The firm has broad experience representing companies in all industries in individual and collective employment litigation matters before Local and Federal Labor Boards nationwide, as well as in compliance and regulatory related matters.

Intellectual Property:

The firm’s IP team actively collaborates with clients in the design, protection, enforcement and maintenance of their creations and distinctive signs, as well as on author’s rights. The firm's deep intellectual and industrial property knowledge results in the effective protection and added value of its client´s IP interest. Additionally, the IP team works strategically and hand in hand with the firm's life sciences team to provide intellectual property and patent protection advice and support for the benefit of health related companies.

Through synergies with other law firms around the world, the firm has assisted Mexican clients in the expansion of their businesses to the United States, Latin America and Europe. The firm has co-counselled premier British and American law firms in the implementation and securing of credit facilities in Mexico as well as multinational companies with the compliance and tropicalization of policies and regulatory matters, like anti-bribery, money laundering and data protection, amongst others.
