Main Areas of Practice: 

Commercial Law: 

• In the area of Commercial Law, an important part of professional practice involves counselling on Mergers and Acquisitions, including acquisition and disposal of companies, corporate restructuring transactions (mergers, splits and other structural changes), joint ventures, investment agreements and partnership agreements, both national and cross-border.
• A standard practice in the Department is also on-going legal advice in corporate matters, including the incorporation of companies, capital increases and reductions,corporate governance, company restructuring, and acting as secretaries to boards of directors.
• The Firm also provides advice on contractual matters with the drafting and negotiation of commercial contracts entered by companies in the regular course of their business (agreements on distribution, agency, franchise, lease, international sale of goods, performance of services…).
• In addition, the Firm has experience in the field of Financial Law, advising on financing transactions, debt refinancing, bank contractsand real estate, including assets and shares sale and purchase, REIT incorporation, IPO on alternative and continuous markets.

Public Law: 

• In the area of Public Law, the Firm offers comprehensive advice in the field of all relationships between the affected citizen and the public administrations, as well as inter-administrative relations.
• Together with such advice, representation and advocacy in all courts is provided, especially on administrative litigation in disputes with governmental authorities.

Tax Law: 

• The area of Tax Law provides companies with specialized advice on tax planning in acquisitions and sales of enterprises and in restructuring transactions.
• In addition, the Firm provides advice regarding foreign investments in Spain and on Spanish investments abroad.
• In financial-tax matters, this department also offers extensive experience, particularly in financing transactions.
• The Firm also provides services to individuals in order to achieve an advantageous tax system by restructuring and tax planning of assets, including the field of successions, especially emphasizing its experience in international tax planning.
• As well as this counselling in transactions, the solicitors in the tax area provide on-going advice to clients on tax matters, helping to facilitate the provision of advice in future complex operations.
• The tax department also specializes in acting as representatives of taxpayers in tax inspections and procedures.

Employment Law: 

• The area of Employment Law provides general advice to companies on this matter, seeking effective solutions not only in workers’ employment and continued labour counselling, but also in situations of staff restructuring. The expertise of the Firm in this area is an important support in restructuring operations and in acquisitions and disposals of businesses.
• The department also advises on management based on the principles of high quality and speed in order to give our clients an expedient and useful service.
• It is also common practice that the Firm provides advice on various workforce procedures (dismissal, claim of amounts, substantial change in working conditions, protection of rights, etc.) and on labour and Social Security inspections.

Litigation: 

• The area of Litigation provides advice in situations of conflicts in civil and commercial matters supporting the client at all stages: from analysis of the pre-litigation situation until all judicial proceedings, including complaints and appeals to higher courts. It also advises on jurisdiction and competence in international affairs.
• Taking advantage of synergies with other departments of the Firm, the working teams will be made up of solicitors of the litigation department, supported by other experts of the Firm on the particular relevant affairs, thus achieving the best advice and the best chance of success.
