Mr. Dellepiane is a corporate and business law attorney with 15 years of experience advising local and international clients across Argentina and Latin America. He counsels domestic and cross-border mergers and acquisitions, joint ventures, corporate reorganizations, and general commercial contracting, with particular depth in the design and implementation of corporate vehicles, efficient holding and operating structures, and corporate governance frameworks.

He has led and coordinated complex buy-side and sell-side M&A processes end-to-end, including due diligence, structuring, drafting and negotiation of share purchase agreements, shareholders’ agreements and ancillary documentation, regulatory clearances, and closing and post-closing integration. His practice also encompasses ongoing corporate maintenance and compliance, board and shareholder matters, directors’ duties and liability, conflict-of-interest and related-party transactions, and crisis and special situations.

Mr. Dellepiane regularly advises on foreign investment, exchange control and corporate regulatory issues in Argentina, as well as antitrust/merger control and sector-specific approvals across multiple industries, including technology, media, consumer goods, energy and natural resources, real estate, and financial services.
