Samuel Yuen is the Managing Director of Yuen Law and Co-Heads its Corporate Practice. He advises on private equity transactions, strategic investments, cross-border mergers and acquisitions, and financial services regulatory matters, and is noted for his commercial insight and ability to structure complex deals that balance legal risk with business objectives.

Samuel acts for founders, high-growth companies, institutional investors and corporates on capital raisings, acquisitions, disposals, joint ventures and shareholder arrangements. His work spans the full transaction cycle, from early-stage funding to complex buyouts and multi-jurisdictional transactions, across sectors including technology, consumer goods, manufacturing and professional services.

He has been involved in significant mandates including the proposed GKGOH Vickers merger, the listing of Brascabos, and the reverse takeover of HSR International Realtors, and has advised regional clients such as Navision SEA (now part of Microsoft), Elite Gold and ultra-high-net-worth families on strategic investments and commercial matters.

Samuel has practised at leading Singapore firm David Lim & Partners, widely recognised at the time for its corporate practice, where he trained and later became a Junior Partner. He also practised at KhattarWong, specialising in corporate M&A and listings, and contributed to the establishment of protocols for KW Advisory, KhattarWong’s Catalist sponsor arm. He later served as Singapore legal counsel and one of four department heads at the Henry Goh Group.

He founded Yuen Law LLC in 2012 and has grown the firm into a recognised full-service practice serving emerging enterprises, established corporates and private clients across the region. Samuel has been recognised in ALB’s Asia Super 50 TMT Lawyers 2024 for his expertise and client-focused counsel.

Work Highlights

1. Represented a family office on a US$300 million private equity investment for the development of a 3,000 hectare eco-resort in Laos, including deal structuring;

2. Represented the controlling shareholder of a premier facilities-services group in a strategic exit to a subsidiary of a top global real-estate business listed on the london stock exchange.

3. Represented a leading luxury hotel and resort group on the strategic reorganisation of its premium hospitality portfolio, including the transfer and consolidation of high-value properties.

4. Represented the founders of a multinational, MAS-licensed fund management group in the US$10 million disposal of a 60% stake to a strategic investor, including the management of regulatory approvals.

5. Represented EDBI, a Singapore government investment firm, as co-lead investor in Transcelestial US$9.6 million Series A financing round, to power Asia and US internet infrastructure with lasers.

6. Represented Cap Vista, the strategic venture investment arm of Singapore’s Defence Science and Technology Agency, as lead investor in Aliena US$1.1 million seed financing round, supporting the development and manufacturing of plasma-thruster systems for the small satellite market.

7. Acted for Cap Vista, the strategic venture investment arm of Singapore’s Defence Science and Technology Agency, in its participation in SunGreenH2’s S$2 million seed round, supporting the development of its low-cost green hydrogen technology.

8. Represented Pine Growth Fund 1 VCC in leading a US$25 million Series B financing into Spatial Systems Inc., supporting the development of metaverse-infrastructure for cultural events, NFT exhibitions, brand experiences and conferences.

9. Represented Real Tech Fund (Japan) in its Series A investment in Shiok Meats, contributing to the US$12.6 million round backing the build-out of its first cultivated seafood production plant in Singapore.

10. Represented Real Tech Fund as lead investor in the US$10 million Series A round of VflowTech, supporting commercialisation of long-duration energy-storage technology.
