Practice Areas

Richard is a Member in Dickinson Wright’s Detroit office and serves as Managing Director of the firm’s Private Equity Practice. He provides legal counsel to private equity and mezzanine firms in numerous mergers, acquisitions, recapitalizations, divestitures, “going private”, mezzanine finance, and other similar transactions. He is also counsel to numerous fund sponsors for fund organization, capitalization and administration.

Throughout his career, Richard has served as outside general counsel to numerous portfolio companies of private equity firms, including Active Interest Media, Inc. He represents private equity funds and private equity fund sponsors in numerous mergers and acquisitions, fund organization and capitalization, recapitalization and divestiture transactions, including:

• Counsel to private equity fund to organize and capitalize portfolio acquisition entity, followed by acquisition of public component manufacturer in a “going private” transaction effectuated via a merger.

• Counsel to private equity fund to organize and capitalize portfolio acquisition entity, followed by simultaneous acquisition and financing of five operating entities.

• Counsel to private equity fund to organize and capitalize acquisition entity, followed by acquisition and financing of numerous media and special event businesses.

• Counsel to minority business enterprise to acquire a subsidiary of an international manufacturer in a complex international acquisition while the parent company was on the verge of bankruptcy.

Richard is also counsel to funds in numerous mezzanine finance transactions; counsel to Boards of Directors and committees regarding corporate finance transactions and governance issues; and counsel to issuers and underwriters in numerous registered public offerings.

Professional Memberships

Richard is an active member of the business and legal communities within Michigan. He previously served as a member of the Board of Directors and the Program Committee for the Association for Corporate Growth Detroit Chapter and on the Board of Directors of the Michigan Chamber of Commerce. He is also a member of the State Bar of Michigan, the Detroit Metropolitan Bar Association, and the Private Directors Association.

Richard has served on the board of a variety of non-profit and for profit entities, including health care organizations, manufacturers and automotive suppliers. He is currently a Board Member of the Little Traverse Conservancy, a member of the Board of Directors of Little Traverse Bay Humane Society, and the RFC Fire & Rescue Association. He is also a Past Chairman of the Board of Trustees for The Detroit Institute for Children.

Publications

Richard continues to share his knowledge and experience with various lawyers, businesspersons and officials. He has served as moderator and/or panel participant on presentations regarding private equity, mergers & acquisitions and other related topics for ACG Detroit and numerous other organizations. He is also a frequent lecturer for educational and commercial seminars and presentations on private equity, corporate and M&A topics.
