Work Highlights

• Advised Banque du Caire S.A.E. as agent for lenders on a USD 75 million syndicated concessional project finance facility to Cheiron Egypt Limited, financing 45.5% of the USD 165 million investment in the West El Burullus gas concession. This first-of-its-kind transaction supports natural gas production and reduces Egypt’s import costs.

• Advised Banque Misr and a consortium of seven participating banks as lenders in connection with a real estate financing to Palm Hills Developments, one of Cairo-based largest real estate developers led by Egyptian Yasseen Mansour. The financing is structured as a long-term syndicated loan, which will be used to finance part of the investment costs for this project.

• Advised Banque Misr and CIB Egypt as lenders in connection with a real estate financing to SODIC, one of Egypt's leading real estate developers. The two banks signed a loan agreement valued at EGP 4.14 billion on 8 September, 2024, specifically for the development of Karmell project, SODIC's second integrated residential community in New Zayed, Cairo.

• Advised Banque Misr and a consortium of two participating banks as lenders in connection with a real estate financing to Landmark Urban Developments. The financing is structured as a long-term syndicated loan, which will be used to finance part of the investment costs for the project known as STEI8HT.

• Advised Rawasy on an EGP 9 billion acquisition finance, divided into two tranches. The first tranche, from Banque Misr, Al Ahly Bank, and Banque Du Caire, financed the purchase of TMG's Craft Zone Project assets in Madinaty, which are handed back under an Operation and Investment Agreement. The second tranche was a discounting facility against checks from TMG's Nour City.

• Advised Rawasy, a joint venture by the National Bank of Egypt and Banque Misr, on two development agreements worth EGP 8.5 billion. The agreements include purchasing over 2,000 residential units and two large plots of land in Al Rehab and Madinaty, New Cairo, developed by Talaat Moustafa Group.

• Advised Marakez Al Sokhna for Real Estate Projects S.A.E., a subsidiary of Fawaz AlHokair Group, on (i) its EGP 1.5 billion facility from a consortium of five banks to develop Phase I of the Mall of Kattameya on Cairo-Sokhna Road; and (ii) on its s EGP 670 million (USD 42 million) syndicated loan to develop Phase II of the Mall of Kattameya.
