Mauricio Posadas

Mauricio Posadas is a Partner at APB. His practice focuses on diligence and negotiation of documents pertaining to development, acquisition and financing of, or investment in, projects or portfolios in the renewable energy and sustainability sectors in the United States and Latin America. Prior to joining APB, Mauricio worked in the project finance group of Norton Rose Fulbright, representing international development finance institutions in the diligence and financing of energy and infrastructure projects abroad, focusing on Latin America and the Caribbean. Mauricio represented development finance institutions in deals in Chile, Colombia, Uruguay, El Salvador, Guatemala, Jamaica, and India.

Represented a developer in two rounds of corporate capital raise and two financing instruments in from 2024 to 2026, including relating to (i) stock purchase agreements and ancillary documents relating to the acquisition of preferred stock in the company; (ii) an equity contribution agreement relating to a joint venture to develop energy storage projects in Texas and community solar projects in New York and Maryland; and (iii) a project financing agreement and negotiation of a form MIPA for the financing and acquisition of distributed generation solar photovoltaic generating facilities, solar plus energy storage, and standalone energy storage systems.

Represented sponsor in the construction-to-term debt financing in 2025 for 430 MW solar projects located in Scott County, Missouri.

Represented sponsor in the diligence, acquisition and debt financing in 2021 and 2022 (and refinancing in 2023) of 16 operating solar projects in the United States. Representation involved leading the diligence of corporate, development and deal documents, negotiation and closing of the acquisition and debt financing, and payoff and replacement of security. The deal required complex closing mechanics with several parties including outgoing lenders, tax equity investors and other security holders.

Represented sponsor in the diligence and acquisition, in 2019, debt and tax equity financing, in 2021 of a 180 MW (and 90 MW storage) utility solar energy project in Nevada. Representation involved the negotiation of acquisition and financing documents as well as agreements to use the project as a source in several firm energy power purchase agreements. This transaction was named Financial Investment Deal of the Year by S&P Global Platts.
