Leslie-Ann has worked regularly with regional and international law firms in a variety of local and cross border legal matters involving corporate finance, mergers and acquisitions, commercial and real estate transactional work, and multijurisdictional insolvency proceedings. She has also acted as local Counsel in international arbitration (ICSID), representing the State of Grenada. She is a former President of the Senate and former Chairman of the Grenada Investment Development Corporation, amongst other notable positions.
Leslie-Ann Seon has over thirty years of experience in:
● Transactional advisory work in the areas of corporate and commercial law for local regional and international financial institutions, investment firms, and other international clients; Conveyancing and real property transactions, corporate finance, capital markets, cross border project finance, cross border insolvency, mergers and acquisitions;;
● Drafting reviewing and advising on finance, security and corporate documents for secured and unsecured lending, private equity investment, debt finance, (including bonds, mortgages, debentures, trust deeds, paying agency agreements, guarantees, promissory notes, bills of sale);
● Preparing reviewing and advising on construction, lease financing, petroleum exploration, insurance, corporate amalgamation and demerger, international franchise contracts for compliance with local laws for regional and multinational companies, shareholder and joint venture agreements; shareholder disputes, corporate governance and succession planning for closely held corporations;
● Advising preparing and presenting legal opinions on: loan documents, (pre-payment events, events of default, pari passu and material adverse change clauses); power of sale debt recovery issues, electronic bank records, guarantees, independent legal advice, local anti-money laundering and terrorism financing laws and regulations; labour, and employment law including (employee pension plans, termination, redundancy, staff regulations and employee manuals, successor employer, and collective agreements ); tax related issues including withholding, corporate, property transfer tax, and value added tax) Alien’s Landholding Regulation Act, Construction law and contract disputes, and Company law issues including (amendment of articles, amalgamation, shareholder rights, institutional director liabilities, breach of fiduciary duties);
● Negotiating with Government and related Government Agencies on tourism investment projects, and other investment agreements including tax concessions; preparing and coordinating applications to Government and relevant Government agencies for approved lending agency status, Aliens’ licences, tax exemptions, and other related project approvals;
● Providing Litigation support and advisory services to local, regional, and international clients in High Court and Appellate Court on insolvency, contract, labour, finance, property and family law issues, including acting as lead local legal adviser for an ICSID arbitration and a local Arbitration matter.
