Keith Townsend specializes in corporate finance transactions of all types. He represents both issuers and underwriters in a wide variety of transactions. With significant experience in more than 60 corporate finance transactions, Keith represents issuers and underwriters in connection with initial public offerings, secondary offerings, "shelf" offerings, "at-the-market" offerings and Rule 144A offerings, as well as private placement transactions, tender offers, consent solicitations and other liability management transactions. Keith also has substantial experience in advising public company clients on governance issues, Securities and Exchange Commission reporting and disclosure requirements, and other corporate and securities matters. He represents these clients in merger and acquisitions, tender offers, spin-offs and divestitures.
Mr. Townsend is the former head of our Corporate Practice Group and currently leads the Capital Markets Practice.
