In the last two decades he has worked on multiple projects and the structuring of investment and financing matters, especially in the natural resource sector for national and international clients doing business in Bolivia. He has also participated in mergers and acquisitions, complex financing transactions, including corporate financing, project finance, and debt issuances, negotiated security packages and wide variety of guarantee agreements. He is well known for his ability to navigate and successfully close complex deals.

Jorge also regularly advises companies on corporate governance and in corporate matters. He has ample experience in advising clients on dispute resolution, focusing especially on alternative dispute resolution mechanisms, such as negotiation, mediation and conciliation.

Experience

Alicorp: Advising on the completion of requirements before the Bolivian securities regulator (ASFI) and the Bolivian Stock Market (Bolsa Boliviana de Valores) for the issuance of securities (bonds and promissory notes). Reviewed the issuing prospects and drafted corporate documents. Provided general legal advice regarding the program and the preparation of a compliance program pursuant to the Bolivian securities law and the Bolivian securities regulator’s requirements.

Consumer goods company: Acting as local counsel in a claim for the reimbursement of several guarantee bonds and commissions (and two renewals), in relation to the purchase of a large company in Latin America with a Bolivian subsidiary.

Oikocredit: Advising on various credit facilities and financing arrangements with Bolivian microfinance and development finance entities. Advising on the drafting of financing documents including security packages.

Global payments technology company: Advising on financial regulations in Bolivia for payment, charging and other operations.

Multinational Commodities company: Structuring of several financings to local mineral producers and refineries, to be repaid with delivery of minerals, including structuring of security packages to cover the loans.

Multinational construction product company and Bond holders: Acting as local counsel to both sides on the structuring of security over the Bolivian subsidiary in connection with the restructuring of the debt of its headquarters.

Laboratorios Bagó de Bolivia S.A: Advising on the preparation and management of an Integrated Promotion Services Contract with third parties (through an App) for the Company to have better control of the sales of its products through the pharmacy chains, without considering the contract or its activities as a business promotion (free of regulatory and tax burdens).

Colca Capital Partners: Assisting with a due diligence for the Bolivian branch of Polysistemas S.A. for the acquisition of 100% of the company shares.

Global payments technology company: Assisting with the due diligence and reg flag report for a target acquisition in Bolivia. Assisted with the direct transfer of minority share participation.

Confidential client: Advising on the restructuring a local subsidiary of a Peruvian logistics operator in order to divest certain real estate properties. This process involved creating a new Bolivian company to receive the assets in a tax efficient manner. Limited Due Diligence in order to prepare the company for offer and potential sale. Assistance in the preparation of the form share purchase agreement and conditions for the transfer of the Bolivian entity.
