Jihong Wang, Senior Counsel in Zhong Lun Law Firm. Jihong Wang specialises and famous in energy and infrastructure industries, she has deeply and broad legal experience representing numerous Chinese central state-owned enterprises in delivering comprehensive legal services for their domestic and overseas energy, natural resources and infrastructure projects within more than twenty years. Ms. Wang’s energy practice covers a wide range of energy types, including photovoltaic, wind, nuclear, hydrogen, hydro, thermal, geothermal, biomass power generation, energy storage, and others. Her infrastructure practice covers expressways, subways, high-speed railways, airports, ports, stadiums, power grids, poldering of seashore, river regulation, television stations, municipal works, schools, hospitals, solid and hazardous wastes, and other sectors. Especially in PPP (concession) projects, overseas EPC projects and financing, Ms. Wang provides full process legal services for mainland and international investors, including project structuring, tendering, contract negotiation, construction, repurchase and operation, but also assist investors in achieving project financing through multiple channels, including bank/syndicated loans, bond issuance, government on-lending, financial leasing, collective trust plans, and debt investment plans. Ms. Wang also provides compliance legal services during post-completion project operation, and aims to further introduce domestic and foreign strategic partners for project owners, supporting capital increase, mergers and acquisitions (M&A), and asset securitization (e.g., REITs). Meantime, in the field of cross-border investment and mergers & acquisitions, Ms. Wang has been deeply engaged in the “Going Global” and “Belt and Road Initiative” projects of Chinese central-owned enterprises.

As a legal counsel to the Ministry of Ecology and Environment and the Ministry of Finance of China, Ms. Wang has participated in the drafting, revision and review of laws and policies on environmental protection, carbon reduction and climate change. She dedicates herself to advancing the legal framework for environmental governance and energy transition, facilitating international exchanges in energy, sustainability and circular economy, and supporting Chinese companies in their global development and international cooperation.

- Provide legal services for China Zhongyuan Engineering Corporation to acquire China’s first independent intellectual property right nuclear power technology export project —— Argentina’s 4th and 5th Nuclear Power Plant Projects

- Provide full-process legal services for China National Uranium Corporation Limited in acquiring the 68.62% equity interest in the Rössing Uranium Mine, a world-class model mine in Namibia, held by Rio Tinto Group. This project was awarded the “Deals of the Year 2018” by China Business Law Journal.

- Provide legal services for Zhizhen Environmental Protection Co., Ltd. in introducing Germany’s leading technology for its first hydrogen energy application project — the hydrogen internal combustion engine joint venture project.

- Provide legal services for the equity acquisition project of MINERAÇÃO TABOCA S.A. by CNMC International Trading Co., Ltd. in Brazil. (Holding mines and refineries of tin, tantalum and niobium, etc.)

- Provide legal services for the private placement of A-shares by China National Nuclear Power Co., Ltd. amounting to 14 billion Chinese yuan, with the National Council for Social Security Fund participating as a strategic investor. (The project is the largest equity financing project in the Chinese mainland capital market since 2024, and also marks the first strategic investment in a listed company participated by the National Council for Social Security Fund.)

- Provide comprehensive legal services to China Shenhua Energy Company Limited, the world’s largest coal operator, in its equity acquisition of more than a dozen subsidiaries of its parent company.

- Provide ongoing legal services for the world’s largest Yarlung Tsangpo Hydropower Project with a total investment of 1.2 trillion Chinese Yuan.

- Provide full scope legal services for the investment, construction and financing of the China-Laos Railway, a flagship Belt and Road strategic cooperation project with an investment exceeding 40 billion Chinese yuan, personally decided and advanced by the leaders of China and Laos.

- Provide legal services for State Power Investment Corporation's (SPIC) landmark nuclear power asset restructuring project (transaction value over 70 billion Chinese yuan). This project marks China's first major asset restructuring in the nuclear power sector and ranks among the largest transactions in recent years involving asset swap and share issuance to acquire assets.

- Provide legal services for the Longyuan Power Overseas Investment Co., Ltd. in its investment, construction and operation of a photovoltaic power plant in Indonesia for electricity import implemented by Singapore Energy Market Authority.

- Provide legal services for the joint development in uranium mining project of China Nuclear Uranium Co., Ltd. with the Ministry of Mining and Geology of Uzbekistan.

- Provide legal services for the project of China National Nuclear Power Co,.Ltd issuing A-share stocks to designated investors.

- Provide legal services for the project of China Shenhua Energy Company Limited as a strategic investor in the joint bankruptcy reorganization project of Liaoning Chuncheng Group and the Bayanwula-Xinqiu Railway.
