Experience

Jean Baroudi is the Managing Partner of Baroudi & Associates and one of Lebanon’s most respected and experienced legal practitioners, with more than three decades of experience advising on high-value corporate, commercial, regulatory and contentious matters. Since assuming leadership of the firm in 2000, he has played a defining role in preserving the legacy of a practice established in 1912, while modernising and expanding Baroudi & Associates into one of Lebanon’s leading full-service law firms.

A graduate of Saint Joseph University (LLB, 1992) and the University of Southampton (LLM, 1994), Jean combines exceptional technical expertise with a deep understanding of the commercial, political and regulatory realities that shape complex matters in Lebanon and the wider region. His practice spans M&A, corporate restructurings, shareholder and governance disputes, banking and finance, insurance and reinsurance, aviation, maritime, energy, infrastructure, employment, regulatory compliance, international trade, litigation and arbitration.

Jean is widely recognised as a trusted strategic adviser to multinational corporations, financial institutions, insurers, sovereign-related entities, government bodies, family businesses, and leading regional groups. Clients regularly turn to him for mandates requiring not only sophisticated legal analysis, but also commercial judgement, strategic direction, market credibility and effective risk management. His advice is valued for being clear, commercially grounded and responsive to the wider business implications of the matters at hand.

Throughout his career, Jean has acted on some of Lebanon’s most sensitive, high-value and strategically significant matters. He is frequently instructed where corporate, regulatory and contentious issues intersect, including in complex reorganisations, business exits, cross-border investments, shareholder disputes, regulatory investigations, crisis management situations, insurance and reinsurance disputes, transport and maritime claims, and major commercial litigation. His involvement is often sought where reputational, operational and commercial considerations are central to achieving a successful outcome.

Jean has also advised senior public and private sector stakeholders in roles that reflect the confidence placed in his judgement by key decision-makers. He served as legal adviser to the Lebanese Ministry of Transport between 1995 and 1998 and to the Chairman of the Association of Lebanese Industrialists between 1995 and 2001. These appointments gave him direct exposure to public policy, transport regulation, industrial development and the interaction between legal frameworks and economic decision-making.

Between 1997 and 2001, Jean was licensed by the Lebanese regulatory authority to conduct reinsurance operations on behalf of Lloyd’s of London and Lloyd’s underwriters, giving him a distinctive understanding of cross-border insurance, reinsurance and international commercial matters. This experience has remained particularly valuable in his work for insurers, reinsurers, transport operators, financial institutions and commercial clients involved in technically complex disputes and transactions.

As Managing Partner, Jean has been instrumental in strengthening the firm’s international practice and positioning Baroudi & Associates as trusted Lebanese counsel to many of the world’s leading corporations, insurers, pharmaceutical companies, shipping groups, airlines, technology companies, financial institutions, energy operators and multinational investors. Under his leadership, the firm has significantly expanded its corporate, finance, transport, insurance and dispute resolution capabilities, while maintaining the client-focused and relationship-driven approach that has long distinguished the practice.

Jean’s leadership has been central to the firm’s ability to provide clients with integrated advice across practice areas. Many of the firm’s most important mandates require a combination of corporate, finance, regulatory, employment, transport, insurance and litigation expertise. Jean is particularly effective in coordinating these different workstreams and ensuring that clients receive advice that is not only legally sound, but also consistent with their commercial objectives and risk appetite. His ability to bring together different legal disciplines is one of the qualities that makes him a particularly valuable adviser on complex Lebanese law matters.

Jean is particularly noted for his ability to lead matters involving multiple jurisdictions, stakeholders and professional advisers. He regularly coordinates with leading international law firms, foreign counsel, experts, insurers, lenders, investors and multidisciplinary teams across the Middle East, Europe, Africa and beyond. His extensive regional and international network, developed over decades of practice, enables him to manage complex mandates efficiently and to provide clients with seamless Lebanese law support on cross-border transactions and disputes.

In the corporate and commercial sphere, Jean advises on mergers and acquisitions, joint ventures, project development, financing transactions, foreign direct investment, private equity, corporate governance, shareholder arrangements and complex commercial ventures. He remains personally involved in the firm’s most important transactional mandates, particularly where clients require senior-level input on structure, negotiation strategy, risk allocation, regulatory approvals and implementation. His work frequently involves advising international clients on how to enter, operate in, restructure, exit or protect investments in Lebanon and the wider region.

Jean is also regularly involved in corporate governance and shareholder matters, including sensitive disputes between shareholders, family-owned businesses, management teams, investors and other stakeholders. His experience enables him to assess not only the legal position, but also the commercial leverage, reputational sensitivities and practical considerations that often determine the direction of a matter. Clients rely on him to identify risks early, manage difficult negotiations and preserve value where possible.

In banking and finance, Jean has advised financial institutions, borrowers, investors and commercial groups on financing structures, security arrangements, regulatory issues, restructurings and enforcement-related matters. His understanding of Lebanon’s complex financial and regulatory environment enables him to guide clients through challenging situations where legal, commercial and market factors are closely intertwined. His advice is particularly valued in matters requiring a practical assessment of enforceability, security, recovery prospects and strategic options.

In dispute resolution, Jean is recognised for his strategic judgement, tactical awareness and ability to resolve complex matters through both litigation and negotiation. He is regularly involved in high-stakes commercial litigation, arbitration-related matters, enforcement proceedings, shareholder disputes, transport and maritime disputes, insurance claims, banking disputes, agency matters and regulatory conflicts. He is particularly renowned for his ability to secure practical settlements in difficult and commercially sensitive disputes, including matters where preserving business relationships, protecting reputations and avoiding unnecessary escalation are as important as securing a favourable legal outcome.

Jean’s dispute resolution practice is distinguished by his ability to look beyond the immediate legal claim and assess the broader strategy required to protect the client’s position. He is often called upon in matters involving parallel proceedings, cross-border elements, urgent interim measures, asset preservation, regulatory exposure or significant reputational risk. His experience allows him to determine when a matter should be fought forcefully, when it should be negotiated, and how to position the client most effectively at each stage.

Clients also value Jean’s ability to deal with crisis situations. Whether the issue concerns a regulatory investigation, the breakdown of a commercial relationship, a major contractual dispute, a transport or insurance incident, a sensitive employment matter, or a business continuity challenge, Jean is known for remaining calm, strategic and commercially focused. His judgement is often sought in circumstances where clients require immediate guidance, discretion and a clear assessment of legal and practical options.

Jean is also particularly active in the transport, maritime, aviation and insurance sectors, areas in which Baroudi & Associates has developed a longstanding reputation. He advises carriers, shipowners, P&I Clubs, insurers, reinsurers, agents, logistics operators, airlines and international trading companies on contentious and non-contentious matters. His sector knowledge allows him to understand the operational realities of clients’ businesses and to provide advice that reflects industry practice as well as Lebanese law.

His experience across heavily regulated sectors also extends to pharmaceuticals, energy, infrastructure, telecommunications, technology, hospitality and real estate. In these fields, Jean frequently advises clients on market entry, licensing, regulatory compliance, contractual structures, commercial risk, disputes and dealings with public authorities. His ability to understand the regulatory framework while remaining focused on the client’s commercial objective is a recurring feature of his practice.

Clients value Jean for his responsiveness, clarity of advice, commercial insight and ability to distil complex legal issues into workable solutions. His longstanding relationships with international and regional clients reflect the confidence placed in him to manage mandates involving significant financial, operational, legal and reputational exposure. He is regarded as a senior adviser who brings authority, perspective and judgement to the most difficult issues facing clients.

Beyond his client work, Jean has contributed to the development of the legal profession in Lebanon through his involvement in legislative and regulatory matters, legal publications and professional organisations. He also serves on the boards of several companies and investment vehicles active in sectors including real estate, hospitality, infrastructure, energy and investment. This board-level experience gives him an additional commercial perspective and enables him to understand the priorities of business leaders, investors and decision-makers.

Jean’s combination of technical excellence, strategic judgement, market authority, international outlook and longstanding leadership continues to position him among Lebanon’s foremost business lawyers and dispute resolution practitioners. His breadth of expertise, depth of market knowledge and ability to manage complex mandates across sectors make him a trusted adviser for clients facing their most important corporate, commercial, regulatory and contentious matters in Lebanon and the wider region.
