His practice mainly focuses on advising corporates, private equity firms, financial and strategic investors, family offices and founders on acquisitions, disposals, joint ventures, and restructurings. While János’ practice tends to focus on general private M&A transactions in Hungary, his recent works include advising significant local and foreign market players acting in the renewables sector in connection with the due diligence and acquisitions of mid- to large-scale PV projects and other energy projects in Hungary.
- Hungarian subsidiary of one of world’s leaders in water services responsible for CEE / SEE operations: Post-acquisition due diligence covering SEE subsidiaries of the Client to assist integration, and subsequent counseling in respect of integration matters.
- Multinational multi-level marketing and manufacturing company: Advising the client in connection with a complex loan-in exchange for-equity transaction in respect of a Hungarian asset.
- Foreign Private Equity Fund: Assisting the client in connection with their ongoing investment in a Hungarian portfolio group of companies engaged in the private health sector.
- UK investor: Assisting the client in connection with the acquisition of assets required for the provision of tax compliance services to clients from multi jurisdictions worldwide engaged in e-commerce from an international player.
- Local investor: assisting the client in the legal and financial due diligence of a leading domestic aluminum manufacturing group and the acquisition of 100% ownership in the group.
- Italian firearms manufacturing company: Advised the client on the acquisition of 100 percent of Swiss-owned Ruag Ammotec. We have advised with a multijurisdictional and multidisciplinary team on legal aspects of the transaction as well as the antitrust and FDI clearances and the relevant filings with the competent authorities in eight countries.
- Listed Hungarian telecommunications and IT company: Advising on the acquisition of a leading telecommunications infrastructure and solutions provider in Hungary.
- A global leader in the solar industry: Advising on its acquisition of a solar project located in Hungary.
- A biotech group that provides high-quality source plasma for fractionation in Hungary: Advising its shareholders on the sale of an 100 percent stake in the company and its subsidiaries, to a global innovator of specialty biopharmaceuticals.
- A major South African real estate investor and developer: Advising on the acquisition of a majority stake in the largest shopping mall on the Buda side of Budapest, from a leading global private equity firm.
- Hungary’s second largest commercial bank: Advising the client as lender in connection with the due diligence review and the financing of a portfolio of 34 photovoltaic power plants in Hungary.
- The subsidiary of a Chinese nuclear power group, which is a major player in the renewable energy sector in Europe and French-speaking Africa: Advising on its purchase of 100% of the shares of the SPV holding an on-shore wind portfolio in Hungary with total capacity of 158 MW (unfortunately the project was aborted).
