Corporate & M&A

Ghiyta advises on corporate structuring, mergers and acquisitions, joint ventures and cross-border transactions. She assists clients throughout the lifecycle of corporate operations, including incorporation, governance, shareholders’ arrangements, restructuring and regulatory approvals. Her practice covers both transactional and advisory work for Moroccan and international groups.

Arbitration

Ghiyta acts in arbitration matters, both as counsel and as arbitrator, in domestic and international proceedings. She represents clients in high-value and complex commercial arbitrations involving contractual disputes, shareholders’ conflicts, infrastructure and telecom-related matters.

In addition to her role as counsel, she regularly sits as arbitrator, bringing strategic insight and procedural rigor to arbitration proceedings. Her practice includes advising on arbitration strategy, drafting arbitration agreements, conducting proceedings under institutional and ad hoc rules, and handling enforcement of arbitral awards.

Employment & Executive Management

Ghiyta assists companies in managing complex employment matters, including executive termination, restructuring processes, disciplinary procedures and compliance with Moroccan labour law. She also advises on governance issues involving senior management and corporate officers.

Regulatory & Compliance

She advises clients operating in regulated sectors on compliance matters, regulatory authorisations and interactions with public authorities. Her work includes data protection, sector-specific regulations and internal compliance frameworks.

Career

Ghiyta IRAQI is the Managing Partner of I&I Law Firm, a position she has held since 2015. She previously practised at Baker McKenzie (Casablanca) and August & Debouzy (Paris and Casablanca), where she advised on major infrastructure, energy, mining and public-private partnership projects, as well as high-profile cross-border transactions.

Her earlier experience includes advising public authorities, sovereign and investment funds, and leading multinational corporations on complex strategic projects, including energy programmes, delegated management contracts, mining investments and large-scale capital market transactions.

She has been accredited as an arbitrator by the Moroccan Court of Arbitration (ICC Morocco) since 2022 and holds a University Diploma in Domestic and International Arbitration Law from the University of Montpellier. She is admitted to the Paris Bar (CAPA).
